This Purchase Order is issued to the above-named Plumber, Maêtre Plomberie Abidjan — Koffi & Associés, for the comprehensive supply, installation, and commissioning of plumbing systems at the Abidjan Trade Center located in the Plateau District of Abidjan, Ivory Coast. The Plumber shall provide all labor, specialized tools, and materials specified below in full compliance with the Ivorian Building Code (Code de la Construction Ivoirien) and the standards set forth by the Agence Nationale de l'Assainissement et de l'Eau Potable (ANAE) of Ivory Coast.

- Compliance with Local Regulations: The Plumber, Maêtre Plomberie Abidjan — Koffi & Associés, shall perform all work in strict accordance with the Ivorian Building Code, the ANAE water and sanitation standards, and all municipal bylaws applicable in the city of Abidjan, Ivory Coast. Any required permits or inspections from the Direction de l'Urbanisme et de la Construction (DUC) of Abidjan shall be obtained at the Plumber's expense prior to commencement of work.
- Materials and Quality: All plumbing materials, fittings, pipes, and fixtures supplied under this Purchase Order shall be new, of commercial grade, and sourced from authorized distributors within Ivory Coast or from certified international suppliers. The Plumber shall provide material data sheets and conformity certificates for all items upon delivery to the Abidjan Trade Center site.
- Schedule and Milestones: The Plumber shall mobilize a qualified team of at least six (6) licensed plumbers and two (2) site supervisors to the Abidjan Trade Center no later than 16 June 2025. Work shall proceed in phases as outlined in the attached project schedule. Failure to meet the required completion date of 05 July 2025 shall result in a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Payment: Payment shall be made via bank transfer to the Plumber's designated account in XOF (West African CFA Franc) at a bank operating in Abidjan, Ivory Coast. The 40% advance payment shall be released within five (5) business days of written acceptance of this Purchase Order. The 50% progress payment shall be due upon written confirmation of installation completion. The final 10% retention shall be released after a successful joint inspection by the Buyer's facilities team and the ANAE representative in Abidjan.
- Warranty and After-Sales Service: The Plumber guarantees all workmanship and materials for a period of twenty-four (24) months from the date of final acceptance. During this warranty period, the Plumber shall respond to any reported plumbing defect or failure at the Abidjan Trade Center within forty-eight (48) hours. Two (2) scheduled preventive maintenance visits shall be conducted annually at no additional cost.
- Health, Safety, and Environmental Compliance: The Plumber shall adhere to all occupational health and safety regulations in force in Ivory Coast. All waste materials, including old piping, packaging, and chemical residues, shall be removed from the Abidjan site and disposed of in accordance with the Ivorian environmental protection laws managed by the Direction de l'Environnement et de la Lutte contre les Désertifications (DELTD).
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be addressed through good-faith negotiation between the parties. Should resolution not be achieved within thirty (30) days, the matter shall be submitted to the competent commercial court of Abidjan, Ivory Coast, in accordance with Ivorian civil and commercial law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest in Abidjan, government-mandated work stoppages, or supply chain disruptions affecting the Ivory Coast market.
