3. Scope of Work — Plumber Services

This Purchase Order is issued by Edificios Corporativos del Centro, S.A. de C.V. to engage the services of a certified Plumber and his licensed team for comprehensive plumbing maintenance, repair, and installation work at the corporate office building located in Mexico Mexico City. The Plumber shall perform all work in strict compliance with the Norma Oficial Mexicana NOM-001-SEDG and all applicable municipal regulations governing plumbing work in Mexico Mexico City. The Plumber is responsible for providing all necessary tools, equipment, PPE, and materials unless otherwise specified in the line items below.

5. Delivery & Schedule

The Plumber shall commence work on June 20, 2025, and all items listed in Section 4 (excluding Item 06, the quarterly maintenance) must be completed no later than July 18, 2025. All work shall be performed at the premises in Mexico Mexico City during approved hours (Monday to Friday, 08:00–17:00 hrs), unless emergency conditions require after-hours access, in which case the Plumber must obtain prior written authorization from the Buyer's Facilities Manager.

6. Payment Terms

  • Payment shall be made via bank transfer (SPEI) to the account designated by the Plumber's company, Servicios Hidráulicos del Valle, S.A. de C.V.
  • 40% advance payment upon signing of this Purchase Order: MXN 160,404.80.
  • 40% upon completion of Items 01 through 05 and successful inspection by the Buyer: MXN 160,404.80.
  • 20% final payment upon completion of the first quarterly maintenance visit (Item 06, Visit 1): MXN 80,202.40.
  • All payments are due within 15 calendar days of receipt of a valid CFDI (Comprobante Fiscal Digital por Internet) invoice issued in accordance with Mexican tax law.
  • Late payments shall accrue interest at the rate established by the Banco de México for commercial transactions in Mexico Mexico City.

7. Terms and Conditions

  1. This Purchase Order is governed by the Commercial Code of Mexico and applicable federal and local regulations in Mexico Mexico City. Any disputes shall be resolved through arbitration in Mexico Mexico City in accordance with the rules of the Centro de Arbitraje de la CCM.
  2. The Plumber warrants that all work shall be performed in a professional, workmanlike manner and in compliance with all applicable NOM standards, Mexican federal regulations, and Mexico Mexico City municipal building codes.
  3. The Plumber shall maintain valid professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of MXN 2,000,000 for the duration of this contract, naming the Buyer as additional insured.
  4. The Plumber is solely responsible for the safety of his employees and subcontractors on the premises. The Buyer assumes no liability for injuries or accidents occurring during the performance of the Plumber's services.
  5. All materials supplied by the Plumber must be new, of commercial grade, and compliant with Mexican industrial standards (NOM). The Plumber shall provide material certifications upon request.
  6. The Plumber shall comply with all environmental regulations of Mexico Mexico City regarding the disposal of hazardous waste, including old copper piping, chemical sealants, and any contaminated water.
  7. The Buyer reserves the right to inspect work in progress at any time. Defective work must be corrected by the Plumber at no additional cost within 5 business days of written notice.
  8. This Purchase Order may not be assigned or subcontracted without prior written consent from the Buyer. Any approved subcontractor must hold a valid Plumber license issued by the relevant authority in Mexico Mexico City.
  9. Confidentiality: The Plumber agrees to maintain strict confidentiality regarding the building's layout, security systems, and any proprietary information encountered during the performance of services in Mexico Mexico City.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Mexico Mexico City, or acts of authority.

8. Acceptance & Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Plumber services to be performed in Mexico Mexico City. This document constitutes a binding agreement upon execution by both parties.
