3. DELIVERY AND LOGISTICS

All physical goods listed in this Purchase Order shall be delivered to the Casablanca Central Police Station, located at 12 Boulevard Mohammed V, Casablanca 20000, Morocco, no later than 30 July 2025. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) within the Casablanca metropolitan area. The training services (Item 06) shall be conducted at the National Police Academy in Casablanca over a period of five (5) consecutive working days, scheduled between 1 August 2025 and 15 August 2025. The assigned Police Officer must be present for all training sessions. Delivery to the Casablanca site shall be made between 08:00 and 16:00 local time (GMT+1), Monday through Friday, excluding Moroccan national holidays.

4. PAYMENT TERMS

Payment shall be made in Moroccan Dirhams (MAD) via bank transfer to the supplier's designated account. The payment schedule is as follows: a deposit of 30% (16,542.00 MAD) upon confirmation of this Purchase Order; 50% (27,570.00 MAD) upon delivery and acceptance of all physical goods at the Casablanca facility; and the remaining 20% (11,028.00 MAD) upon successful completion of the training program and submission of the final invoice. Payment terms are net thirty (30) days from the date of invoice receipt. Late payments shall incur interest at the rate prescribed by Moroccan commercial law. All payments are subject to the approval of the Casablanca Regional Finance Office.

5. TERMS AND CONDITIONS

1. This Purchase Order is governed by the laws of the Kingdom of Morocco, including the Moroccan Public Procurement Code (Code des Marchés Publics) and applicable regulations of the Ministry of Interior.
2. All equipment procured under this order is the exclusive property of the Moroccan State and is assigned to the named Police Officer for official duty in Casablanca. Unauthorized transfer, sale, or disposal is strictly prohibited.
3. The supplier warrants that all goods are new, free from defects, and conform to the specifications approved by the Direction Générale de la Sécurité Publique for Police Officer use in Morocco.
4. A warranty period of twenty-four (24) months applies to all electronic and mechanical items. The supplier shall repair or replace defective items at no additional cost within the Casablanca region.
5. The supplier shall maintain full confidentiality regarding the identity, badge number, and operational details of the Police Officer to whom this equipment is assigned, in accordance with Moroccan data protection law (Law 09-08).
6. Any dispute arising from this Purchase Order shall be resolved by the competent courts of Casablanca, Morocco. The parties agree to attempt mediation before initiating legal proceedings.
7. This Purchase Order may be amended only by written mutual agreement signed by both parties and countersigned by the Casablanca Regional Command authority.
8. The supplier must comply with all Moroccan labor, environmental, and safety regulations during the manufacturing, packaging, and delivery of the procured items.
