3. Description of Goods and Services

This Purchase Order is issued by the University of Brisbane to formally engage the services of Professor James A. Whitfield for the academic and research period commencing 1 July 2025 through to 30 June 2026. The engagement of the Professor is required to deliver advanced coursework, supervise postgraduate research, and lead a collaborative research project funded under the Australian Research Council (ARC) Discovery Project Grant DP2401187. 4. Payment Terms and Conditions

All payments under this Purchase Order shall be made in Australian Dollars (AUD) via electronic funds transfer (EFT) to the bank account nominated by Professor Whitfield. Payment shall be processed in quarterly instalments as follows: 25% upon execution of this Purchase Order, 25% upon completion of the first semester (30 September 2025), 25% upon completion of the second semester (31 March 2026), and the final 25% upon satisfactory completion of all deliverables and submission of the final project report by 30 June 2026. Invoices must be submitted to the University of Brisbane Finance Office, Brisbane, Queensland, no less than fourteen (14) business days prior to the due date. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law and the Queensland Government Procurement Policy. All terms are subject to the University of Brisbane's standard Procurement and Contracts Policy (2024 revision) and applicable Australian federal and Queensland state legislation.

5. Delivery and Performance Location

All services rendered under this Purchase Order shall be performed primarily at the University of Brisbane, St Lucia campus, located at 40 Kelsall Road, St Lucia, Brisbane, Queensland 4072, Australia. The Professor is expected to be present on the Brisbane campus a minimum of three (3) days per week for the duration of the engagement. Remote work from the Professor's Brisbane office at 88 Creek Street is permitted for up to two (2) days per week, subject to prior written approval from the Department Head. All research data, intellectual property, and confidential materials generated under this Purchase Order shall be stored on University of Brisbane secure servers located in Brisbane, in compliance with the Australian Privacy Act 1988 (Cth) and the University's Information Security Policy.

6. Intellectual Property and Confidentiality

All intellectual property, including but not limited to research findings, software code, mathematical models, and published works, created by the Professor in the course of performing obligations under this Purchase Order shall be jointly owned by the University of Brisbane and Professor Whitfield, as stipulated in the ARC Grant Agreement DP2401187. The Professor agrees to maintain strict confidentiality regarding all proprietary data, unpublished research, and internal University of Brisbane documents accessed during the engagement. This confidentiality obligation shall survive the termination of this Purchase Order for a period of five (5) years. Any breach of confidentiality shall be subject to legal action under the Australian Competition and Consumer Act 2010 (Cth) and applicable Queensland state law.

7. Cancellation and Termination

Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of termination by the University of Brisbane without cause, the Professor shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of 10% of the remaining contract value. In the event of termination due to the Professor's material breach of contract, no further payment shall be due. All termination notices must be delivered in writing to the addresses specified in Sections 1 and 2 of this Purchase Order, located in Brisbane, Australia.

8. Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland and the Commonwealth of Australia. Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the Queensland Dispute Resolution Act 2022. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the Supreme Court of Queensland, Brisbane. The Professor acknowledges that this Purchase Order constitutes a binding legal agreement enforceable under Australian law.

9. Authorisation and Signatures

By signing below, the authorised representatives of both parties confirm that this Purchase Order has been reviewed, approved, and executed in accordance with all applicable University of Brisbane procurement policies, Australian federal procurement regulations, and Queensland state legislation. The Professor acknowledges receipt of this Purchase Order and agrees to all terms and conditions set forth herein.
