This Purchase Order is issued by the Universidade Federal do Distrito Federal, located in Brazil Brasília, for the engagement of Professor Ricardo Almeida Santos to provide specialized academic and consulting services. • 3.1 This Purchase Order is governed by the laws of the Federative Republic of Brazil, specifically Law No. 14.133/2021 (Federal Public Procurement Law) and applicable regulations of the Federal District, Brazil Brasília.
• 3.2 The Professor shall perform all services personally and shall not delegate, subcontract, or assign any portion of the obligations herein without prior written consent from the Buyer.
• 3.3 All services shall be rendered at the designated locations within Brazil Brasília, Federal District, as specified in each line item above. Travel expenses within the city of Brazil Brasília are included in the unit prices stated.
• 3.4 Payment shall be made via bank transfer (TED/DOC) to the account designated by the Professor, within 30 (thirty) calendar days following the satisfactory completion and written acceptance of each service milestone.
• 3.5 The Professor shall issue the corresponding Nota Fiscal (invoice) for each payment cycle, in compliance with the tax regulations of Brazil Brasília and the Federal Revenue Service (Receita Federal).
• 3.6 All intellectual property, reports, policy briefs, and academic materials produced by the Professor under this Purchase Order shall be jointly owned by the Buyer and the Professor, with the Buyer holding an irrevocable license for governmental and academic use within Brazil Brasília and the Federal District.
• 3.7 The Professor shall comply with all data protection obligations under Brazil's General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018) when handling any personal data of students or government officials in Brazil Brasília.
• 3.8 Either party may terminate this Purchase Order with 30 (thirty) days' written notice. In the event of termination, the Professor shall be compensated for all services rendered up to the effective date of termination, pro-rated on a monthly basis.
• 3.9 Any disputes arising from this Purchase Order shall be resolved by the competent courts of Brazil Brasília, Federal District, Brazil, with exclusive jurisdiction of the Federal Justice in the Brasília judicial district.
• 3.10 This Purchase Order becomes effective upon signature by both parties and registration in the Buyer's official procurement system (SICAF).

The Professor shall commence services no later than 01 July 2025. All deliverables, including written reports, policy briefs, and seminar materials, shall be submitted to the Procurement Department of the Buyer at the UnB campus in Brazil Brasília, no later than the deadlines specified in the attached Service Level Agreement (Annex A). The Professor acknowledges that all services are to be performed within the jurisdiction of Brazil Brasília, Federal District, and that the local regulatory environment of Brazil Brasília shall apply to all professional conduct and deliverable standards.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of the Professor's academic and consulting services in Brazil Brasília, and that all terms herein have been read, understood, and accepted in full.
