Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Professor International Trading & Supply Co., Ltd., a duly registered entity operating in DR Congo Kinshasa, and constitutes a binding commitment to purchase the goods and services listed herein upon acceptance by the Supplier.
- All goods and services referenced in this Purchase Order shall be delivered to the Professor headquarters located at 142 Boulevard Triomphal, Gombe, Kinshasa, DR Congo Kinshasa, no later than the delivery deadline stated above. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
- Payment shall be made by bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid commercial invoice. All payments are subject to the financial regulations of the Central Bank of the Democratic Republic of the Congo and applicable foreign exchange controls in DR Congo Kinshasa.
- The Supplier warrants that all goods delivered under this Purchase Order shall be new, of the highest quality, free from defects, and in full compliance with the specifications outlined in the Professor procurement annex (Annex A, attached separately). Any non-conforming items shall be replaced at the Supplier's sole expense within fourteen (14) days.
- This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo Kinshasa, in accordance with the rules of the Kinshasa Chamber of Commerce and Industry.
- The Supplier acknowledges that Professor International Trading & Supply Co., Ltd. operates across multiple sites in DR Congo Kinshasa and reserves the right to modify delivery locations within the Kinshasa metropolitan area at no additional cost to Professor.
- All intellectual property, branding, and proprietary designs associated with the Professor name and logo shall remain the exclusive property of Professor International Trading & Supply Co., Ltd. The Supplier shall not reproduce, distribute, or display any Professor-branded materials beyond the scope of this Purchase Order without prior written consent.
- This Purchase Order may not be assigned or subcontracted by the Supplier without the prior written approval of Professor. Any unauthorized subcontracting shall constitute a material breach of this Purchase Order and entitle Professor to terminate the agreement immediately.
- Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa, shall excuse timely performance. The affected party must notify the other in writing within forty-eight (48) hours of the occurrence.
- This Purchase Order, together with all attached annexes and specifications, constitutes the entire agreement between Professor and the Supplier regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
