Terms and Conditions

1. This Purchase Order is issued by Professor Academic Solutions Ltd., a registered entity operating in Tel Aviv, Israel, and is governed by the laws of the State of Israel. All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the Tel Aviv District Court.
2. The supplier shall deliver all items listed in this Purchase Order to the Professor Academic Solutions facility located at 1425 Allenby Street, Tel Aviv, Israel, no later than the delivery deadline specified above. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
3. All equipment and materials procured under this Purchase Order must comply with Israeli Standards (SII) and the regulations set forth by the Israeli Ministry of Health and the Ministry of Science and Technology. The supplier warrants that all items are new, unused, and free from defects.
4. Payment shall be made via bank transfer to the supplier's designated account in Israel within 45 days of receipt of a valid tax invoice. Professor Academic Solutions Ltd. reserves the right to withhold payment for any items that fail to meet the specifications outlined in this Purchase Order.
5. The supplier shall provide a minimum two-year warranty on all equipment purchased under this Purchase Order. The annual maintenance contract (Item #6) shall commence upon successful installation and calibration at the Professor Tel Aviv campus.
6. Professor Academic Solutions Ltd. reserves the right to modify, cancel, or reject any portion of this Purchase Order with written notice provided at least fourteen (14) days prior to the delivery deadline. In the event of partial cancellation, the supplier shall be compensated only for costs already incurred and documented.
7. All intellectual property, data, and research outputs generated through the use of equipment procured under this Purchase Order shall remain the exclusive property of Professor Academic Solutions Ltd. The supplier shall not claim any rights over such materials.
8. This Purchase Order constitutes the entire agreement between Professor Academic Solutions Ltd. and the supplier regarding the procurement of the items described herein. No amendments shall be valid unless made in writing and signed by authorized representatives of both parties in Tel Aviv, Israel.
9. The supplier acknowledges that Professor Academic Solutions Ltd. operates in the academic and research sector in Tel Aviv, Israel, and all deliveries must be coordinated with the facility's security and logistics team at least 72 hours in advance.
