The entire scope of this Purchase Order is intended for deployment at the designated university campus located in Russia Saint Petersburg, specifically within the newly renovated Faculty of Natural Sciences and the Central Research Library. The Buyer requires that all items conform to the specifications outlined in this Purchase Order and meet the applicable Russian Federal Technical Regulations (TR CU) for furniture and office equipment used in public and educational institutions.

The Seller shall deliver all Professor series items to the Buyer's designated facility in Russia Saint Petersburg no later than 30 August 2025. Delivery shall be made in accordance with the DAP Incoterm, meaning the Seller bears all risks and costs associated with transporting the goods to the named place of destination in Saint Petersburg, Russia. The Seller is responsible for arranging international sea freight from the port of Hamburg to the Port of Saint Petersburg, followed by overland transport to the university campus. All packaging must be suitable for the climatic conditions of Russia Saint Petersburg, including protection against humidity and temperature fluctuations during the transit period. Upon arrival, the Seller's authorized installation team shall complete the assembly, positioning, and quality verification of all Professor products within ten (10) business days of delivery. The Buyer's facilities manager shall be present during installation to confirm compliance with the specifications stated in this Purchase Order.
4. Terms and Conditions- Acceptance: The Buyer shall inspect all Professor items within five (5) business days of installation completion. Any defects, damage, or non-conformities must be reported in writing to the Seller within this period. Failure to report shall constitute acceptance of the goods.
- Warranty: The Seller provides a comprehensive five (5) year warranty on all Professor furniture items, covering structural integrity, mechanical components, and upholstery. The warranty is valid for use in Russia Saint Petersburg and shall be serviced by the Seller's designated local agent in the Saint Petersburg region.
- Payment: Payment of the full amount of 561,300.00 EUR shall be made via irrevocable letter of credit issued by a bank in Russia Saint Petersburg, payable to the Seller within forty-five (45) days of confirmed delivery and acceptance. Late payments shall incur interest at a rate of 1.5% per month.
- Compliance: All Professor products must comply with Russian Federal Law No. 2300-1 on Consumer Rights Protection and applicable GOST standards for furniture. The Seller shall provide all necessary certificates of conformity and quality documentation in both English and Russian.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to customs delays at the Port of Saint Petersburg, sanctions-related shipping restrictions, or natural disasters affecting the Russia Saint Petersburg region.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Russia, seated in Moscow. The language of arbitration shall be English.
- Intellectual Property: The "Professor" brand name, trademarks, and design patents remain the exclusive property of Professor International Academic Furnishings Ltd. The Buyer is granted a non-exclusive license to display the Professor branding on the delivered items for institutional identification purposes within the Russia Saint Petersburg campus.
- Confidentiality: Both parties agree to maintain the terms of this Purchase Order as confidential and shall not disclose pricing, quantities, or commercial terms to third parties without prior written consent, except as required by Russian federal law or regulatory authorities in Saint Petersburg.
