- This Purchase Order is issued by Professor LLC, a duly registered entity in Abu Dhabi, United Arab Emirates, and constitutes a binding procurement commitment upon acceptance by the supplier. All transactions governed by this Purchase Order shall comply with the commercial laws and regulations of the United Arab Emirates, including the Federal Commercial Transactions Law.
- The supplier shall deliver all goods specified in this Purchase Order to the designated Professor LLC facility in Abu Dhabi, United Arab Emirates, no later than the delivery date stated above. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
- All items must be new, unused, and in original manufacturer packaging. Professor LLC reserves the right to inspect and reject any goods that do not meet the specifications outlined in this Purchase Order or that arrive damaged during transit within the United Arab Emirates.
- Payment shall be made via bank transfer in United Arab Emirates Dirhams (AED) to the supplier's designated account within Abu Dhabi, United Arab Emirates, within forty-five (45) calendar days from the date of a valid tax invoice, subject to satisfactory delivery and acceptance of all goods under this Purchase Order.
- The supplier warrants that all goods supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery to Professor LLC's premises in Abu Dhabi. Any warranty claims shall be processed in accordance with Professor LLC's standard warranty procedures.
- This Purchase Order is subject to the standard terms and conditions of Professor LLC as published on the company's official procurement portal. In the event of any conflict between the terms herein and Professor LLC's standard conditions, the terms of this Purchase Order shall prevail.
- All intellectual property rights associated with the goods and documentation delivered under this Purchase Order remain the property of the respective manufacturers. Professor LLC is granted a non-exclusive, non-transferable licence to use such materials solely for internal operational and academic purposes within Abu Dhabi, United Arab Emirates.
- Any amendments, modifications, or cancellations to this Purchase Order must be made in writing and signed by an authorised representative of Professor LLC. Verbal communications shall not constitute a valid amendment to this Purchase Order.
- This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
