All goods and services specified in this Purchase Order shall be delivered to the Buyer's premises located at 10 Universitet Street, Tashkent 100174, Uzbekistan. The Seller shall bear all costs and risks of transportation, customs clearance, import duties, and local delivery within the Republic of Uzbekistan until the goods are physically received and accepted at the designated location in Tashkent. The Professor platform software shall be delivered via secure encrypted download with physical media as backup. Hardware components shall be shipped via air freight to Tashkent International Airport (TAS) with final ground delivery to the university campus.
The Seller shall complete all installation, configuration, and data migration activities within Tashkent no later than 30 August 2025. The training program shall be conducted on-site at the university's main building in Tashkent during the week commencing 1 September 2025. All personnel dispatched by the Seller to Tashkent, Uzbekistan shall be responsible for obtaining their own work permits and visas in accordance with the immigration regulations of the Republic of Uzbekistan.
4. PAYMENT TERMS AND CONDITIONS- 30% Advance Payment: USD 109,740.00 due within 10 business days of the Buyer's written acceptance of this Purchase Order.
- 50% on Delivery and Installation: USD 182,900.00 due within 15 business days following successful installation, configuration, and acceptance testing of the Professor platform at the Tashkent campus.
- 20% on Final Acceptance: USD 73,160.00 due within 15 business days following completion of the training program and issuance of the Final Acceptance Certificate by the Buyer's designated project manager in Tashkent.
- All payments shall be made via international wire transfer to the Seller's designated bank account. The Buyer shall be responsible for any applicable withholding taxes under the tax treaty between Uzbekistan and the United Kingdom.
- Late payments shall incur interest at a rate of 1.5% per month, calculated from the due date until the date of actual payment.
The Seller warrants that the Professor platform and all associated modules, applications, and services delivered under this Purchase Order shall be free from material defects in design, workmanship, and performance for a period of twenty-four (24) months from the date of Final Acceptance in Tashkent, Uzbekistan. The Seller further warrants that the Professor platform shall perform in accordance with the specifications outlined in the attached Technical Annex (Annex A) and shall not infringe upon any third-party intellectual property rights.
All intellectual property rights in the Professor software, including source code, documentation, and proprietary algorithms, shall remain the exclusive property of Professor Systems International Ltd. The Buyer is granted a non-exclusive, non-transferable license to use the Professor platform solely for internal academic and administrative purposes at its Tashkent, Uzbekistan campus during the term of this Purchase Order and any subsequent maintenance agreements.
6. GOVERNING LAW AND DISPUTE RESOLUTIONThis Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan, with particular reference to the Civil Code of the Republic of Uzbekistan and the Law on Foreign Trade. Any disputes arising out of or in connection with this Purchase Order, including its interpretation, performance, or termination, shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute remains unresolved, it shall be submitted to the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Republic of Uzbekistan in Tashkent for final and binding arbitration. The language of arbitration shall be English.
NOTE: This Purchase Order constitutes a binding agreement upon signature by both parties. No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer in Tashkent, Uzbekistan, and the Seller.
