1. SCOPE OF THE PURCHASE ORDERThis Purchase Order is issued by Córdoba Infrastructure Development S.A. to formally request and authorize the procurement of a qualified Project Manager to oversee the "Córdoba Metropolitan Water and Sanitation Modernization Program." The Project Manager shall be engaged on a full-time basis for a period of eighteen (18) months, commencing July 1, 2025, and concluding on December 31, 2026. All professional services under this Purchase Order shall be rendered within the jurisdiction of Argentina Córdoba, with the primary work site located at the Municipal Works Directorate, Av. Colón 1500, Ciudad de Córdoba, Argentina.

3.1 Payment Terms: Payment for this Purchase Order shall be made in monthly installments within fifteen (15) business days following the Project Manager's submission of the monthly progress report and the corresponding invoice. All payments shall be processed in Argentine Pesos (ARS) via bank transfer to the account designated by Andes Project Management Consulting S.R.L. in accordance with the financial regulations of the Banco de la Nación Argentina and the Central Bank of Argentina (BCRA).
3.2 Compliance with Argentina Córdoba Regulations: The Project Manager shall comply with all applicable national and provincial labor laws, including the Argentine Labor Contract Law (Ley de Contrato de Trabajo No. 20.744), the Córdoba Provincial Public Works Law (Ley 10.074), and all municipal ordinances of the Ciudad de Córdoba. The Project Manager must hold a valid professional registration with the Colegio de Ingenieros de la Provincia de Córdoba.
3.3 Performance Obligations: The Project Manager shall be responsible for the overall planning, scheduling, budgeting, risk management, quality assurance, and stakeholder communication for the entire duration of the project. The Project Manager shall attend all mandatory coordination meetings held at the Córdoba Municipal Works Directorate and shall submit weekly status reports to the Buyer's Project Control Office.
3.4 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination for convenience by the Buyer, the Project Manager shall be compensated for all services rendered up to the effective date of termination, plus a severance equivalent to one month's professional fee.
3.5 Confidentiality: The Project Manager agrees to maintain strict confidentiality regarding all project documentation, financial data, and proprietary information belonging to Córdoba Infrastructure Development S.A. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, with specific reference to the commercial and civil codes applicable in the Province of Córdoba. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of the Ciudad de Córdoba, Argentina.
NOTE: This Purchase Order is subject to prior approval by the Córdoba Provincial Treasury (Tesorería General de la Provincia de Córdoba) and must be registered in the provincial procurement system (Sistema de Compras Públicas de Córdoba) before any services commence. The Project Manager must present a valid CUIT, updated tax certificate (Constancia de Situación Tributaria), and professional liability insurance policy before the first day of service. 4. DELIVERY AND ACCEPTANCEThe Project Manager shall report for duty at the designated work site in Argentina Córdoba on July 1, 2025, at 09:00 hours. Acceptance of the Project Manager's services shall be confirmed in writing by the Buyer's Project Sponsor within ten (10) business days of the commencement date. Failure to confirm acceptance within this period shall constitute implicit acceptance of the Project Manager's qualifications and assignment.
