This Purchase Order is issued by the Buyer to formally engage the services of a qualified Project Manager to oversee, coordinate, and deliver the "Modernização dos Sistemas de Gestão Pública" (Modernization of Public Management Systems) initiative. The Project Manager shall be physically stationed at the Buyer's offices located in Brazil Brasília, specifically at the Esplanada dos Ministérios complex, and shall report directly to the Director of Strategic Planning.

The Project Manager is expected to bring a minimum of ten (10) years of experience in large-scale public-sector project delivery within Brazil Brasília and the Federal District. The role encompasses full lifecycle management, including project initiation, planning, execution, monitoring, and closure, in strict compliance with Brazilian federal procurement regulations (Lei nº 14.133/2021) and the internal governance framework of the contracting ministry.

All amounts are expressed in Brazilian Reais (BRL). The 12% ISS (Imposto Sobre Serviços) applicable in Brazil Brasília has been included in the grand total. No additional federal or state taxes are applicable to this service engagement.

1. Commencement: The Project Manager shall commence duties no later than 01 July 2025 at the Buyer's premises in Brazil Brasília. A formal onboarding and security clearance process, as required for all personnel accessing federal buildings in Brazil Brasília, must be completed within the first five (5) business days.
2. Duration: This Purchase Order covers a period of twelve (12) months, from 01 July 2025 to 30 June 2026, subject to renewal by mutual written agreement.
3. Performance Standards: The Project Manager shall deliver monthly progress reports, bi-weekly stakeholder meeting minutes, and a comprehensive risk register update. All deliverables must align with the project charter approved by the Buyer's Board in Brazil Brasília.
4. Compliance: The Seller warrants that the Project Manager engaged under this Purchase Order holds valid professional registration (CREA or equivalent) and complies with all labor, social security (INSS), and tax obligations under Brazilian federal law as applicable in Brazil Brasília.
5. Confidentiality: The Project Manager shall sign a non-disclosure agreement (NDA) prior to accessing any classified or sensitive government information. All project documentation generated in Brazil Brasília shall remain the exclusive property of the Buyer.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be immediate. Upon termination, the Project Manager shall deliver all work-in-progress documentation to the Buyer within seven (7) business days.
7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Brazil Brasília – DF, in accordance with Brazilian civil and administrative law.

Payment shall be made in monthly installments via electronic bank transfer (TED/PIX) to the Seller's account, within fifteen (15) business days following the Buyer's written acceptance of the Project Manager's monthly deliverables. The first payment shall be due upon completion of the first full calendar month of service. Invoices must reference this Purchase Order number (PO-BSB-2025-04782) and include the Seller's CNPJ, the applicable Brazil Brasília ISS code, and a detailed breakdown of services rendered by the Project Manager during the billing period.

This Purchase Order is issued in accordance with the Buyer's internal procurement policy and the applicable provisions of Lei nº 14.133/2021. The engagement of the Project Manager under this document is subject to the final approval of the Buyer's Financial Controller and the Legal Advisory Office in Brazil Brasília.
