  1. This Purchase Order (PO-2025-VAN-0487) constitutes a binding agreement between Northwest Pacific Technologies Inc. and Summit Leadership Consulting Group for the provision of Project Manager professional services within the Canada Vancouver metropolitan area.
  2. The Project Manager assigned to this engagement must hold a PMP (Project Management Professional) certification issued by the Project Management Institute (PMI) and a minimum of eight (8) years of demonstrated experience in large-scale infrastructure or technology projects in Canada.
  3. All services shall be performed in accordance with the Project Management Body of Knowledge (PMBOK) Guide, current edition, and shall comply with all applicable federal, provincial (British Columbia), and municipal (City of Vancouver) laws and regulations governing professional services in Canada Vancouver.
  4. The Project Manager shall submit weekly status reports and monthly comprehensive progress reports to the designated Buyer representative at Northwest Pacific Technologies Inc., 1200 West Georgia Street, Vancouver, BC. Reports must be delivered in English and shall include risk registers, milestone tracking, and budget variance summaries.
  5. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-VAN-0487) and include the vendor's Business Number (BN) registered with the Canada Revenue Agency (CRA).
  6. The Project Manager shall maintain professional liability insurance with a minimum coverage of $5,000,000 CAD, naming Northwest Pacific Technologies Inc. as an additional insured party. Proof of insurance must be provided prior to the commencement of services on July 1, 2025.
  7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Project Manager services rendered up to the effective date of termination, less any applicable deductions for incomplete deliverables.
  8. All intellectual property, project documentation, and proprietary data created or accessed during the engagement shall remain the sole property of Northwest Pacific Technologies Inc. The Project Manager shall execute a Non-Disclosure Agreement (NDA) prior to accessing any confidential information.
  9. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Canada Vancouver, in accordance with the Arbitration Act of British Columbia.
  10. The Project Manager shall adhere to all workplace safety standards as mandated by the WorkSafeBC regulations and shall ensure that all team members operating in the Canada Vancouver project site comply with site-specific safety protocols.

The Project Manager shall commence all services no later than July 1, 2025, at the Northwest Pacific Technologies Inc. headquarters located at 1200 West Georgia Street, Suite 3400, Vancouver, British Columbia, Canada. The Project Manager is expected to be physically present at the Canada Vancouver office a minimum of four (4) days per week, with the remaining time allocated to remote coordination with satellite project teams. All project deliverables, including but not limited to project charters, work breakdown structures, Gantt charts, and risk assessment matrices, shall be delivered in digital format (PDF and editable project management software files) to the Buyer's designated project repository.
