This Purchase Order is issued by Beijing Horizon Technology Group Co., Ltd. to procure the services of a qualified Project Manager to oversee and coordinate the "Beijing Smart Infrastructure Initiative" (BSI-2025). The Project Manager shall be physically stationed in China Beijing and shall report directly to the Chief Operating Officer of the Buyer. The engagement of this Project Manager is critical to ensuring that all project milestones, deliverables, and stakeholder communications are managed in full compliance with local regulations applicable in China Beijing.

The Project Manager engaged under this Purchase Order shall perform the following duties while operating out of the Buyer's office in China Beijing:
- Develop and maintain the master project schedule for the Beijing Smart Infrastructure Initiative, ensuring alignment with all municipal and national regulatory requirements in China Beijing.
- Coordinate cross-functional teams comprising engineers, architects, and government liaison officers based across the China Beijing metropolitan area.
- Prepare weekly and monthly progress reports for senior leadership, with all documentation filed in accordance with China Beijing corporate governance standards.
- Manage the project budget of CNY 45,000,000.00, including procurement sub-orders, vendor negotiations, and expenditure tracking specific to the China Beijing market.
- Conduct risk assessments and mitigation planning tailored to the unique operational environment of China Beijing, including seasonal construction restrictions and local permitting timelines.
- Serve as the primary point of contact for all government agencies, including the Beijing Municipal Commission of Housing and Urban-Rural Development.
The Supplier shall ensure that the Project Manager is fully onboarded, holds a valid work permit for China Beijing, and is ready to commence duties no later than July 1, 2025. The initial engagement period under this Purchase Order shall be twelve (12) months, commencing from the date of commencement and concluding on June 30, 2026, unless extended by mutual written agreement. All onboarding activities, including the registration of the Project Manager with the local human resources bureau in China Beijing, shall be completed within fourteen (14) calendar days of the Purchase Order acceptance date.
Payment for this Purchase Order shall be made in accordance with the following schedule, with all transactions processed through the Buyer's corporate bank account in China Beijing:
- 30% advance payment (CNY 91,970.70) due within ten (10) business days of Purchase Order acceptance, payable via bank transfer to the Supplier's designated account.
- 40% milestone payment (CNY 122,627.60) due upon the Project Manager's successful completion of the first three (3) months of service in China Beijing, subject to a satisfactory interim performance review.
- 30% final payment (CNY 91,970.70) due upon the completion of the full twelve-month engagement period and submission of the final project closure report by the Project Manager.
All payments shall be denominated in Chinese Yuan (CNY) and processed in accordance with the foreign exchange regulations of the People's Bank of China as applicable in China Beijing. Late payments shall incur a penalty of 0.05% per calendar day.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing.
- The Project Manager shall comply with all applicable labor laws, tax obligations, and professional standards in force in China Beijing throughout the duration of the engagement.
- The Supplier warrants that the Project Manager possesses a minimum of eight (8) years of relevant project management experience, a valid PMP or equivalent certification, and fluency in both Mandarin Chinese and English.
- Confidentiality: All project data, client information, and proprietary materials accessed by the Project Manager during operations in China Beijing shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Project Manager shall complete all outstanding deliverables and hand over all project documentation to the Buyer's designated successor within China Beijing.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Beijing, or changes in national policy.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Project Manager services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Project Manager services to be performed in China Beijing.
