This Purchase Order is issued by Andes Infrastructure Solutions S.A.S. to formally procure the professional services of a senior Project Manager to oversee the execution of the "Bogotá Metro Line 2 Expansion" initiative. The selected Project Manager shall be responsible for end-to-end delivery management, stakeholder coordination, budget governance, risk mitigation, and compliance with all applicable Colombian regulatory frameworks governing large-scale infrastructure projects in the Bogotá metropolitan area. The Project Manager engaged under this Purchase Order shall deliver the following within the Colombia, Bogotá operational context:
- Develop and maintain a comprehensive project management plan aligned with the Bogotá Metro Line 2 Expansion timeline, ensuring all phases from design through commissioning are tracked and reported.
- Coordinate with the District Secretary of Infrastructure (Secretaría Distrital de Infraestructura Física) and the Bogotá Urban Planning Authority (SUA) to secure and maintain all necessary permits and environmental licenses.
- Manage a cross-functional team of no fewer than 45 professionals, including civil engineers, electrical specialists, and safety officers, all operating within the Bogotá metropolitan area.
- Conduct weekly progress reviews with the project steering committee and submit monthly executive reports to the Board of Directors of Andes Infrastructure Solutions S.A.S.
- Ensure full compliance with Colombian labor regulations (Código Sustantivo del Trabajo), social security contributions (Pensión, Salud, ARL), and tax obligations (RIT, IVA) for all personnel under the Project Manager's supervision.
- Implement a risk management framework specific to urban construction in Bogotá, addressing seismic considerations, traffic management, and community engagement protocols.
- Oversee a project budget of up to COP 2.4 billion, maintaining variance within 5% of the approved baseline.
- This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bogotá D.C. in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
- The Project Manager shall be engaged as an independent contractor through Meridian Talent Partners Ltda. and shall not be considered an employee of Andes Infrastructure Solutions S.A.S. unless otherwise stipulated in a separate employment agreement compliant with Colombian labor law.
- Meridian Talent Partners Ltda. warrants that the Project Manager possesses a minimum of ten (10) years of experience in large-scale infrastructure project management, a valid PMP or PRINCE2 certification, and fluency in both Spanish and English to effectively operate within the Colombia, Bogotá business environment.
- Payment shall be processed in Colombian Pesos (COP) via bank transfer to the account specified above. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Project Manager shall complete a full knowledge transfer and handover of all project documentation to the successor within fifteen (15) business days.
- All intellectual property, project documentation, and proprietary data generated by the Project Manager during the term of this Purchase Order shall remain the exclusive property of Andes Infrastructure Solutions S.A.S.
- The Project Manager shall maintain professional liability insurance with a minimum coverage of COP 500,000,000, valid throughout the duration of this Purchase Order in Colombia.
- This Purchase Order is valid for a period of 18 months from the Required Start Date, with the option to renew for an additional 12 months subject to mutual written agreement and satisfactory performance evaluation.
