This Purchase Order is issued by Nile Delta Infrastructure & Development Co., headquartered in Egypt Cairo, for the purpose of engaging a qualified Project Manager to oversee and coordinate the "Cairo Metro Extension Phase III" construction initiative. The Project Manager shall be responsible for the full lifecycle management of the project, including planning, execution, monitoring, risk mitigation, stakeholder communication, and final delivery. This Purchase Order governs all commercial terms, deliverables, payment schedules, and obligations between the two parties as defined herein. The engagement is specifically scoped to operations within Egypt Cairo and its immediate metropolitan area, and all reporting, site visits, and administrative functions shall be conducted from the buyer's Egypt Cairo headquarters unless otherwise directed in writing.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order relating to the Project Manager engagement in Egypt Cairo shall be resolved through arbitration under the Egyptian Arbitration Law No. 27 of 1994, with the seat of arbitration in Egypt Cairo.
  2. Payment Terms: Payment for the Project Manager services shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice from Cairo Executive Talent Solutions Ltd. All payments shall be made in Egyptian Pounds (EGP) via bank transfer to the supplier's designated account in Egypt Cairo.
  3. Project Manager Qualifications: The Project Manager engaged under this Purchase Order must hold a valid PMP (Project Management Professional) certification, a minimum of ten (10) years of experience in large-scale infrastructure projects, fluency in Arabic and English, and a clean record with the Egyptian Engineers Syndicate. The supplier warrants that the Project Manager shall be available for full-time duty in Egypt Cairo from the commencement date.
  4. Commencement and Duration: The Project Manager shall commence duties on 1 August 2025. The initial contract term is twelve (12) months, extendable by mutual written agreement for up to two additional twelve-month periods. The Project Manager's performance shall be reviewed quarterly by the buyer's Egypt Cairo project steering committee.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Project Manager (including but not limited to abandonment of duties, gross negligence, or violation of Egyptian labor law), the buyer may terminate immediately upon written notice. Upon termination, all outstanding compensation due to the Project Manager up to the termination date shall be settled within thirty (30) days.
  6. Confidentiality: The Project Manager shall be bound by a non-disclosure agreement covering all proprietary information, construction plans, financial data, and client details related to the Egypt Cairo project. This obligation survives termination of this Purchase Order for a period of five (5) years.
  7. Compliance with Egyptian Regulations: The supplier shall ensure full compliance with Egyptian Labor Law No. 12 of 2003, the Egyptian Social Insurance Law, and all applicable municipal regulations in Egypt Cairo. The Project Manager shall be registered with the relevant Egyptian professional bodies as required by law.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Egypt Cairo, or acts of war, provided that written notice is given within seven (7) days of the event.
  9. Intellectual Property: All project documentation, reports, schedules, and deliverables produced by the Project Manager in the course of this engagement shall be the exclusive property of Nile Delta Infrastructure & Development Co. and shall be stored at the buyer's Egypt Cairo offices.
  10. Amendments: No amendment, modification, or supplement to this Purchase Order shall be valid unless made in writing and signed by the authorized signatories of both parties. All amendments must be referenced to this Purchase Order number (EGY-CAI-2025-PM-0047).

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Project Manager in Egypt Cairo. This Purchase Order constitutes a binding commercial agreement upon execution by both authorized signatories.
