This Purchase Order is issued by NexaBuild Infrastructure Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to Apex Talent Solutions & Consulting LLP (hereinafter referred to as the "Vendor") for the procurement, placement, and ongoing management of a senior-level Project Manager to oversee the Mumbai Coastal Road Phase III infrastructure development project. The Project Manager shall be physically stationed at the Buyer's project office located in India Mumbai, specifically at the BKC site office, and shall report directly to the Chief Executive Officer of the Buyer.
The Project Manager is expected to possess a minimum of twelve (12) years of progressive experience in large-scale civil infrastructure projects, with at least five (5) years in a senior Project Manager capacity. The candidate must hold a professional degree in Civil Engineering or Construction Management from an institution recognized by the All India Council for Technical Education (AICTE) and must be a registered member of the Institution of Engineers (India), Mumbai Chapter. The Project Manager shall be responsible for end-to-end project delivery, including but not limited to schedule management, budget control, stakeholder coordination with the Maharashtra State Road Transport Corporation (MSRTC) and the Mumbai Metropolitan Region Development Authority (MMRDA), quality assurance, risk mitigation, and compliance with all applicable Indian building codes and environmental regulations.

All amounts are quoted in Indian Rupees (INR). The above Purchase Order is subject to the prevailing Goods and Services Tax (GST) rates as notified by the Government of India. TDS under Section 194J of the Income Tax Act, 1961, shall be deducted at the applicable rate before remittance of payment.
- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Mumbai, Maharashtra.
- Commencement: The Project Manager shall report for duty at the Buyer's project office in India Mumbai no later than 01 August 2025. The Vendor shall ensure all onboarding formalities, including local address proof, PAN verification, and bank account setup, are completed within the first seven (7) working days.
- Payment Terms: The Buyer shall make payment within thirty (30) days of receipt of a valid tax invoice from the Vendor. Payments shall be made via NEFT/RTGS to the Vendor's designated bank account. The initial placement fee (Line Item 1) shall be payable within 15 days of the Project Manager's successful completion of the probationary period.
- Performance Standards: The Project Manager shall adhere to the project milestones outlined in the attached Project Charter (Annexure A). Failure to meet critical path milestones for two consecutive months shall constitute a material breach, entitling the Buyer to invoke the replacement clause under Line Item 4.
- Confidentiality: The Project Manager shall sign a Non-Disclosure Agreement (NDA) in favor of the Buyer before accessing any proprietary project data. All project documents, drawings, and financial records pertaining to the Mumbai Coastal Road Phase III project are classified as confidential and shall not be disclosed to any third party without written consent from the Buyer.
- Statutory Compliance: The Vendor shall ensure full compliance with the Maharashtra Shops and Establishments Act, 2017, the Payment of Wages Act, 1936, and all applicable labor regulations in India Mumbai. The Project Manager shall be enrolled in the Employees' Provident Fund (EPF) and Employees' State Insurance (ESI) schemes as mandated by Indian law.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall pay for services rendered up to the effective date of termination, and the Vendor shall facilitate a smooth transition of the Project Manager's responsibilities.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or civil unrest in India Mumbai.
This Purchase Order is issued in accordance with the internal procurement policy of NexaBuild Infrastructure Solutions Pvt. Ltd. and has been approved by the Finance and Administration Division. The Vendor is requested to confirm acceptance of this Purchase Order by signing and returning a copy within five (5) working days of receipt.
