1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Alborz Infrastructure Development Co. (hereinafter referred to as the "Buyer") to Kerman Consulting & Management Group (hereinafter referred to as the "Seller") for the procurement of a qualified Project Manager to oversee and coordinate the Tehran Metropolitan Water Infrastructure Modernization Program. The engagement of this Project Manager is specifically scoped for operations within Iran Tehran, and all deliverables, reporting, and on-site supervision shall be conducted within the administrative boundaries of Tehran Province, Iran. This Purchase Order constitutes a binding contractual instrument under the commercial laws of the Islamic Republic of Iran and shall govern all terms, conditions, and obligations between the two parties with respect to the Project Manager engagement.

2. Description of Services — Project Manager Role

The Seller shall provide a senior Project Manager with a minimum of twelve (12) years of demonstrated experience in large-scale civil infrastructure projects. The Project Manager shall be responsible for the end-to-end planning, execution, monitoring, and closure of the Tehran Metropolitan Water Infrastructure Modernization Program. The Project Manager shall report directly to the Buyer's Chief Executive Officer and shall maintain a dedicated office at the Buyer's headquarters in Iran Tehran. The Project Manager shall ensure full compliance with all national regulations issued by the Ministry of Roads and Urban Development of Iran and shall coordinate with all municipal authorities within Tehran.

3. Payment Terms

Payment for this Purchase Order shall be made in Iranian Rials (IRR) via bank transfer to the Seller's designated account at Bank Melli, Tehran branch. The Buyer shall disburse payments in four (4) equal quarterly installments, with the first installment due within fifteen (15) business days of the Project Manager's commencement date. Each subsequent installment shall be due upon the Project Manager's submission of the quarterly performance report and the Buyer's written acceptance. A late payment penalty of 0.05% per calendar day shall apply to any overdue amount. All payments are subject to the withholding tax provisions of the Iranian Direct Taxes Code.

4. Commencement and Duration

The Project Manager shall commence duties no later than 1 July 2025 at the Buyer's project office located in the Vali-Asr district of Iran Tehran. The engagement period under this Purchase Order shall be twelve (12) months, extendable by mutual written agreement for up to two (2) additional six-month periods. The Project Manager shall maintain a minimum on-site presence of six (6) days per week at the project locations within Tehran.

5. Performance Standards and Deliverables

The Project Manager shall deliver the following as part of the obligations under this Purchase Order: (a) a comprehensive project management plan within the first thirty (30) days of commencement; (b) weekly progress bulletins distributed to all stakeholders in Iran Tehran; (c) monthly risk and issue registers; (d) quarterly financial variance reports; and (e) a final project closure report upon completion. Failure to meet any deliverable milestone by more than ten (10) business days without written justification shall entitle the Buyer to withhold the corresponding payment installment.

6. Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the commercial and civil laws of the Islamic Republic of Iran. Any dispute arising from or in connection with the Project Manager engagement shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to the competent courts of Iran Tehran for final and binding adjudication. The Project Manager shall comply with all labor regulations applicable in Tehran, including those issued by the Ministry of Cooperatives, Labour and Social Welfare.

7. Confidentiality and Data Protection

The Project Manager shall treat all project data, financial records, and strategic information of the Buyer as strictly confidential. No information pertaining to this Purchase Order or the associated project in Iran Tehran shall be disclosed to any third party without the prior written consent of the Buyer. This obligation shall survive the termination or expiration of this Purchase Order for a period of three (3) years.

8. Termination

Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately if the Project Manager commits a material breach, engages in fraud, or fails to maintain the required professional certifications. Upon termination, the Seller shall ensure an orderly transition of all Project Manager duties and deliver a complete handover package within fourteen (14) days.
