This Purchase Order is issued by the Tigris Infrastructure Development Authority for the procurement and engagement of a qualified Project Manager to oversee the execution of the Baghdad Water Infrastructure Rehabilitation Program. The Project Manager shall be physically stationed in Iraq Baghdad for the entire duration of the contract and shall report directly to the Authority's Director of Operations. The scope of the Project Manager's responsibilities includes, but is not limited to:

  • Full lifecycle management of the Baghdad Water Infrastructure Rehabilitation Program, including planning, scheduling, budgeting, execution, monitoring, and closure.
  • Coordination with all subcontractors, government agencies, and international development partners operating within Iraq Baghdad.
  • Preparation and submission of weekly and monthly progress reports to the Authority's board, with all documentation maintained at the Baghdad office.
  • Risk identification, mitigation planning, and escalation protocols specific to the operational environment of Iraq Baghdad.
  • Stakeholder engagement with local communities, municipal authorities, and security coordination cells in the Baghdad metropolitan area.
  • Quality assurance and compliance oversight in accordance with Iraqi public procurement regulations and international project management standards (PMBOK, PRINCE2).
  • Management of a project budget not exceeding USD 12,500,000, with all financial transactions processed through the Authority's Baghdad financial office.
3. CONTRACT DURATION AND DEPLOYMENT

The Project Manager engagement shall commence on 1 July 2025 and shall continue for a period of twenty-four (24) months, concluding on 30 June 2027, unless extended by mutual written agreement. The Project Manager shall be deployed to the primary project site in the Al-Mansour and Al-Karrada districts of Iraq Baghdad and shall maintain a minimum of five (5) working days per week on-site. All travel, accommodation, and security arrangements within Iraq Baghdad shall be provided and funded by the Buyer under the terms of this Purchase Order.

4. FINANCIAL TERMS AND PAYMENT SCHEDULE Total Contract Value: USD 384,000.00 (Three Hundred Eighty-Four Thousand US Dollars)
Monthly Fee for Project Manager Services: USD 16,000.00

Payment Method: Wire transfer to the Supplier's designated bank account in Baghdad, Iraq

Payment shall be made on a monthly basis within fifteen (15) business days following the Project Manager's submission of a verified timesheet and progress report. The Buyer reserves the right to withhold up to ten percent (10%) of each monthly payment as a performance retention, to be released upon satisfactory completion of the project phase. All payments are subject to the terms and conditions outlined in this Purchase Order and applicable Iraqi commercial law.

5. TERMS AND CONDITIONS
  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, with specific reference to the Iraqi Public Procurement Law No. 22 of 2013 and its amendments.
  • Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Baghdad, Iraq. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Iraqi Chamber of Commerce in Baghdad.
  • Confidentiality: The Project Manager shall maintain strict confidentiality regarding all project data, security protocols, and sensitive operational information pertaining to activities in Iraq Baghdad. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  • Security and Compliance: The Project Manager shall comply with all security directives issued by the Iraqi Ministry of Interior and the Baghdad Provincial Security Command. Failure to comply may result in immediate termination of this Purchase Order without penalty to the Buyer.
  • Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Upon termination, the Project Manager shall deliver all project documentation, files, and assets to the Authority's Baghdad office within five (5) business days.
  • Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to armed conflict, civil unrest, or government-imposed restrictions within Iraq Baghdad.
  • Insurance: The Supplier shall maintain comprehensive professional liability insurance and personal accident coverage for the Project Manager throughout the engagement period in Iraq Baghdad, with a minimum coverage of USD 1,000,000.
6. DELIVERABLES AND REPORTING

The Project Manager shall deliver the following to the Authority's Baghdad office on a recurring basis: weekly status reports (every Friday), monthly comprehensive progress reports (by the 5th of each month), quarterly risk assessment updates, and a final project closure report upon completion. All deliverables shall be submitted in both Arabic and English to ensure accessibility for all stakeholders in Iraq Baghdad.

7. AUTHORIZATION AND ACCEPTANCE

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Project Manager in Iraq Baghdad. This document constitutes a binding agreement upon execution by both authorized representatives.
