This Purchase Order is issued by Mediobanca Consulting S.r.l. (hereinafter referred to as the "Client") to Apulia Professional Services S.r.l. (hereinafter referred to as the "Supplier") for the engagement of a qualified Project Manager to oversee and coordinate the "Porto di Napoli Digital Infrastructure Upgrade" initiative. The Project Manager shall be physically based in the Naples, Italy office located at Via Toledo, 142, and shall report directly to the Client's Director of Operations. The scope of this Purchase Order encompasses the full professional services of the Project Manager for a period of twelve (12) months, commencing on 1 September 2025 and concluding on 31 August 2026, unless extended by mutual written agreement.

4.1 This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Courts of Naples, Italy.

4.2 The Supplier warrants that the Project Manager engaged under this Purchase Order holds a minimum of eight (8) years of demonstrated experience in infrastructure and digital transformation projects, possesses a PMP (Project Management Professional) certification or equivalent, and is fluent in both Italian and English.

4.3 The Project Manager shall comply with all applicable Italian labor regulations, including those set forth by the Italian Ministry of Labour and Social Policies, and shall be subject to the collective bargaining agreement (CCNL) applicable to the professional services sector in the Campania region.

4.4 Payment shall be made via bank transfer (bonifico bancario) to the Supplier's designated account in Naples, Italy, within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-NAP-2025-00847).

4.5 The Client reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Supplier or the Project Manager, including but not limited to failure to meet project milestones, gross negligence, or violation of Italian data protection regulations (GDPR and the Italian Privacy Code, D.Lgs. 196/2003).

4.6 All intellectual property, project documentation, and deliverables produced by the Project Manager in the course of this engagement shall be the exclusive property of the Client and shall be stored at the Client's premises in Naples, Italy.

4.7 The Supplier shall ensure that the Project Manager maintains valid professional liability insurance throughout the duration of this Purchase Order and shall provide certificates of insurance upon request.

The services described in this Purchase Order shall commence on 1 September 2025. The Project Manager shall report to the Client's office at Via Toledo, 142, Naples, Italy, on the first working day of the engagement. The Supplier shall confirm in writing, no later than 20 August 2025, that the Project Manager has been identified, vetted, and is ready to commence duties in Naples, Italy.

This Purchase Order is valid upon signature by both parties. By signing below, the Supplier acknowledges receipt of this Purchase Order and agrees to furnish the Project Manager services as specified herein for the Naples, Italy project site.

This Purchase Order (PO-NAP-2025-00847) constitutes a binding procurement document for the engagement of a Project Manager in Naples, Italy. All references to "Italy Naples" in this document denote the city of Naples (Napoli), Campania region, Italian Republic, as the primary site of performance. This document is issued in duplicate, one copy retained by the Client and one copy provided to the Supplier. In the event of any discrepancy between this Purchase Order and any prior correspondence, the terms set forth in this Purchase Order shall prevail.
