This Purchase Order is issued by Abidjan Infrastructure Development Group (hereinafter referred to as the "Purchasing Entity") to Meridian Consulting Partners SARL (hereinafter referred to as the "Service Provider") for the engagement of a qualified Project Manager to oversee, coordinate, and deliver the Abidjan Coastal Highway Expansion Initiative. The Project Manager shall be responsible for the end-to-end management of all project phases, including planning, execution, monitoring, and closure, in full compliance with the regulatory framework of the Republic of Ivory Coast and the specific operational requirements of the Abidjan metropolitan area.

The Project Manager engaged under this Purchase Order shall perform the following duties within the Abidjan, Ivory Coast operational zone:

Develop and maintain the master project schedule, work breakdown structure, and critical path methodology for the Coastal Highway Expansion, ensuring alignment with the Abidjan urban planning authority (DAU) timelines.
Manage a multidisciplinary team of no fewer than 45 personnel, including civil engineers, surveyors, and local subcontractors based in Abidjan and surrounding districts.
Prepare and submit monthly progress reports, risk registers, and budget variance analyses to the AIDG Executive Committee in Abidjan.
Coordinate with the Ivorian Ministry of Public Works, the Abidjan Port Authority (APPA), and local municipal authorities to secure permits, access rights, and environmental clearances.
Ensure all project deliverables comply with Ivorian labor law (Code du Travail de Côte d'Ivoire), occupational health and safety regulations, and the specific procurement standards of the Ivory Coast public sector.
Conduct weekly site inspections across the Abidjan construction corridors and maintain a detailed log of quality assurance and quality control activities.
Facilitate change-order management and ensure all scope modifications are documented, approved, and reflected in the revised project baseline before implementation.

Commencement Date: 01 July 2025. The Project Manager must be physically present at the AIDG project office in Cocody, Abidjan, no later than 08:00 on the commencement date.
Contract Duration: Twelve (12) calendar months, with a possible extension of up to three (3) additional months subject to mutual written agreement.
Performance Bond: The Service Provider shall furnish a performance bond equivalent to 10% of the total Purchase Order value, issued by a bank licensed in Ivory Coast, within five (5) business days of this Purchase Order's acceptance.
Payment Schedule: Monthly payments in arrears, due within thirty (30) days of invoice submission. Invoices must be submitted in XOF (CFA Franc) and reference this Purchase Order number (PO-AIDG-2025-0047).
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Service Provider shall be compensated for all services rendered up to the effective date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast. Any disputes shall be resolved by the competent courts of Abidjan or, at the Purchasing Entity's election, by arbitration under the rules of the Ivorian Arbitration Centre (Centre Ivoirien d'Arbitrage) seated in Abidjan.
Confidentiality: All project data, site plans, and proprietary information related to the Abidjan Coastal Highway Expansion shall be treated as strictly confidential and shall not be disclosed to third parties without prior written consent from AIDG.

This Purchase Order constitutes a binding procurement instrument upon signature by both parties. The Service Provider acknowledges receipt of this Purchase Order and confirms its capacity to deliver the Project Manager services as described herein, in full compliance with all applicable laws and regulations of the Ivory Coast, specifically within the Abidjan metropolitan jurisdiction.
