1. Purpose and Scope of This Purchase Order
This Purchase Order is issued by Almaty Infrastructure Development Group LLP (hereinafter referred to as the "Buyer") to Central Asia Project Management Solutions JSC (hereinafter referred to as the "Supplier") for the procurement of professional Project Manager services to be rendered in Almaty, Kazakhstan. The Project Manager engaged under this Purchase Order shall oversee, coordinate, and deliver all phases of the Almaty Metro Extension Phase III construction initiative, ensuring full compliance with the regulatory standards established by the Committee for Architecture and Urban Planning of the Almaty City Akimat and the national building codes of the Republic of Kazakhstan.

3. Terms and Conditions
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and applicable legislation of the Almaty region. Any disputes arising from this Purchase Order shall be resolved through the Almaty City Arbitration Court.
- Project Manager Qualifications: The Project Manager assigned under this Purchase Order must hold a minimum of ten (10) years of experience in large-scale infrastructure projects within Kazakhstan or equivalent CIS nations. The Project Manager must possess a PMP or PRINCE2 certification and demonstrate fluency in both Kazakh and Russian languages to facilitate effective communication with local authorities in Almaty.
- Place of Performance: All services under this Purchase Order shall be performed primarily at the Buyer's offices located at 45 Abai Avenue, Almaty, Kazakhstan, and at the designated construction sites within the Almaty metropolitan area. The Project Manager shall maintain a minimum of five (5) working days per week of physical presence in Almaty.
- Payment Terms: Payment shall be made in tenge (KZT) via bank transfer to the Supplier's designated account within fifteen (15) business days of receipt of a valid invoice. Invoices shall be submitted monthly and must reference this Purchase Order number PO-KZ-ALM-2025-04782.
- Performance Bond: The Supplier shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, issued by a licensed bank operating in Kazakhstan, to be held by the Buyer for the duration of the Project Manager engagement.
- Confidentiality: The Project Manager and all personnel engaged under this Purchase Order shall maintain strict confidentiality regarding project specifications, budget details, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately. Upon termination, the Project Manager shall deliver all project documentation, reports, and work-in-progress materials to the Buyer within ten (10) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Almaty region, government-imposed restrictions, or acts of war, as defined under Kazakhstan law.
- Compliance with Local Regulations: The Project Manager shall ensure all activities comply with the Labour Code of the Republic of Kazakhstan, the Tax Code of Kazakhstan, and all municipal regulations of the Almaty City Akimat. The Supplier is responsible for all social security contributions and statutory deductions for personnel engaged in Almaty.
- Intellectual Property: All reports, plans, methodologies, and deliverables produced by the Project Manager in the course of this Purchase Order shall become the exclusive property of the Buyer upon full payment.
4. Acceptance and Authorization
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Project Manager services in Almaty, Kazakhstan. The Project Manager engagement described herein shall commence on 1 March 2025 and shall continue for the duration specified in Section 2, subject to the terms and conditions set forth in this document.
