This Purchase Order is issued by Meridian Digital Solutions S.L. to formally procure the professional services of a qualified Project Manager to oversee, coordinate, and deliver the "Barcelona Smart Infrastructure Initiative" (BSII) programme. The Project Manager shall be physically based in Spain Barcelona and shall report directly to the Director of Operations at the Meridian Digital Solutions office located on Av. Diagonal, Barcelona. The engagement is structured as a fixed-term professional services contract with a defined scope of deliverables, milestones, and performance indicators as outlined in the attached Statement of Work (SOW-BSII-2025-011).

The Project Manager shall be responsible for the end-to-end planning, execution, monitoring, and closure of all project phases, including but not limited to stakeholder management, resource allocation, risk mitigation, budget control, and quality assurance. All operational activities, meetings, site inspections, and client-facing engagements related to this Purchase Order shall take place within the metropolitan area of Spain Barcelona, with the primary work location being the Meridian Digital Solutions headquarters. The Project Manager is expected to maintain a minimum of five (5) on-site working days per week at the Barcelona premises, with remote work permitted only upon prior written approval from the Buyer.

The Project Manager shall commence duties no later than 1 July 2025 and shall remain engaged for the full twelve-month term unless this Purchase Order is terminated in accordance with Section 7. All project documentation, progress reports, risk registers, and financial tracking sheets must be maintained in the Buyer's project management platform and stored at the Spain Barcelona office. The Project Manager shall submit a comprehensive monthly performance report to the Buyer's procurement and operations teams by the fifth business day of each month. Quarterly milestone reviews shall be conducted on-site in Barcelona, and the Project Manager shall attend all such sessions in person.

Payment under this Purchase Order shall be made in monthly instalments via direct bank transfer to the Seller's designated account in Spain. The first invoice shall be issued upon successful onboarding and commencement of the Project Manager's duties. Subsequent invoices shall be issued on the last business day of each calendar month. All payments are subject to the Buyer's standard three-business-day invoice verification process. Late payments shall accrue interest at the rate prescribed by Spanish commercial law (Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales).

This Purchase Order and all associated service agreements shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order, including disputes relating to the performance of the Project Manager or the operational obligations within Spain Barcelona, shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain. Both parties agree to attempt good-faith mediation before initiating any formal legal proceedings.

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Project Manager or the Seller, the Buyer reserves the right to terminate immediately upon written notice. Upon termination, the Seller shall ensure an orderly handover of all project documentation, credentials, and ongoing work to a successor Project Manager or to the Buyer's internal team within fourteen (14) calendar days. All outstanding invoices for services rendered up to the termination date shall be settled in accordance with the payment terms specified herein.

The Project Manager shall be bound by the Buyer's standard Non-Disclosure Agreement (NDA-2025-003) and shall comply fully with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Data Protection and Guarantee of Digital Rights (LOPDGDD). All project data, client information, and proprietary materials accessed during the course of this Purchase Order shall be stored exclusively on Buyer-approved systems located in Spain Barcelona and shall not be transferred outside the European Economic Area without prior written consent.
