2. Description of Procured Services

This Purchase Order is issued by the Tanzania Dar es Salaam Municipal Development Authority to formally procure the professional services of a qualified Project Manager to oversee, coordinate, and deliver the "Integrated Urban Water Supply Rehabilitation Programme" currently under implementation in the Tanzania Dar es Salaam metropolitan area. The Project Manager shall be responsible for the end-to-end management of all project activities, including but not limited to stakeholder engagement, budget oversight, risk mitigation, quality assurance, and reporting to the Tanzania Dar es Salaam municipal governing body.

The Project Manager engaged under this Purchase Order must hold a minimum of a Master's degree in Project Management, Engineering, or a related discipline, possess PMP or PRINCE2 certification, and demonstrate a minimum of ten (10) years of progressive experience managing infrastructure projects in the East African region, with at least five (5) years of direct experience operating within Tanzania Dar es Salaam or comparable urban environments in the United Republic of Tanzania.

4. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, specifically the Public Procurement Act (Cap. 390) and all applicable regulations issued by the Tanzania Dar es Salaam municipal authority.
Commencement: The Project Manager shall commence duties no later than thirty (30) calendar days from the date of this Purchase Order, with an initial site induction to be conducted at the Tanzania Dar es Salaam Municipal Development Authority headquarters in Ubungo.
Payment Terms: Payment shall be made in monthly installments via bank transfer to the account designated by the supplier. Invoices must be submitted by the 5th business day of each month. The Tanzania Dar es Salaam issuing authority reserves the right to withhold payment for deliverables not meeting the quality standards specified in the Project Management Plan.
Performance Bond: The supplier shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, issued by a licensed Tanzanian commercial bank, to be held by the Tanzania Dar es Salaam Municipal Development Authority for the duration of the contract.
Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach by the Project Manager, the Tanzania Dar es Salaam authority may terminate immediately upon written notice, subject to the dispute resolution mechanism outlined in Section 7.
Confidentiality: All project documentation, financial records, and operational data pertaining to the Tanzania Dar es Salaam programme shall be treated as strictly confidential. The Project Manager shall not disclose any proprietary information to third parties without prior written consent from the issuing authority.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Tanzania Arbitration Act, with proceedings conducted in Tanzania Dar es Salaam.
Compliance: The Project Manager shall comply with all local labor laws, tax obligations, and municipal regulations applicable in Tanzania Dar es Salaam. All personnel engaged under this Purchase Order must hold valid work permits where applicable under Tanzanian immigration law.

5. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Project Manager services described herein shall be delivered in full compliance with the standards expected by the Tanzania Dar es Salaam Municipal Development Authority and in accordance with the United Republic of Tanzania's public procurement framework.
