3. Scope of Work – Project Manager Engagement

This Purchase Order authorizes the procurement of a dedicated Project Manager to oversee the end-to-end delivery of the "Ankara Infrastructure Modernization Initiative" (AIMI). The appointed Project Manager shall be physically based in Turkey Ankara and shall report directly to the Chief Operating Officer of Meridian Consulting Group A.Ş. The engagement covers the full project lifecycle, including initiation, planning, execution, monitoring, and closure, in strict compliance with Turkish commercial law and the regulations of the Republic of Turkey.

5. Payment Terms

Payment for this Purchase Order shall be made in Turkish Lira (TRY) via bank transfer to the vendor's designated account in Ankara. Invoices shall be submitted on the last business day of each calendar month. Payment terms are Net 30 days from the date of invoice receipt. A 10% retention shall be withheld from each monthly invoice and released upon successful project closure and final acceptance by the Project Sponsor. All payments are subject to the terms outlined in the master service agreement between Meridian Consulting Group A.Ş. and Apex PMS.

6. Terms and Conditions

This Purchase Order is governed by the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Ankara, Turkey.
The Project Manager engaged under this Purchase Order must hold a valid PMP or PRINCE2 certification and a minimum of eight (8) years of experience in infrastructure or IT project delivery within Turkey.
The Project Manager shall comply with all data protection obligations under the Turkish Personal Data Protection Law (KVKK – Law No. 6698) while handling project documentation in Ankara.
Apex PMS shall provide a replacement Project Manager within five (5) business days should the initially assigned individual become unavailable, without additional cost to Meridian Consulting Group A.Ş.
All deliverables, reports, and project documentation produced by the Project Manager shall be the exclusive intellectual property of Meridian Consulting Group A.Ş. and shall be stored at the Ankara office or on approved cloud infrastructure.
This Purchase Order may be amended only by mutual written agreement signed by both parties. Verbal modifications are not valid under Turkish commercial law.
Termination for convenience may be exercised by either party with thirty (30) days' written notice. In such case, the Project Manager's services shall be wound down in an orderly manner at the Ankara site.
The vendor shall maintain professional indemnity insurance with a minimum coverage of TRY 5,000,000, valid throughout the engagement period in Turkey.

7. Acceptance and Authorization

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order. The Project Manager engagement shall commence on 1 July 2025 at the Meridian Consulting Group A.Ş. office in Turkey Ankara, unless otherwise agreed in writing.
