2. Scope of Services — Psychiatrist EngagementThis Purchase Order is issued by Harbour Health Alliance Pty Ltd to engage the services of a qualified Psychiatrist, Dr. James Whitfield, for the provision of psychiatric assessment, diagnosis, and ongoing therapeutic management services to employees and contracted personnel of the purchasing organisation. All services under this Purchase Order shall be delivered in accordance with the Australian Health Practitioner Regulation Agency (AHPRA) standards, the Australian Medical Association (AMA) guidelines, and the specific regulatory requirements applicable to medical practitioners operating in Australia Sydney. The Psychiatrist shall maintain full professional indemnity insurance with a minimum coverage of AUD 10,000,000 per claim throughout the duration of this engagement.

4. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. All disputes arising from this Purchase Order relating to Psychiatrist services in Australia Sydney shall be subject to the exclusive jurisdiction of the courts of New South Wales.
- Professional Standards: The Psychiatrist shall comply with all AHPRA registration requirements, the Medical Board of Australia's Code of Ethics, and the specific clinical guidelines for psychiatric practice as applicable in Australia Sydney. The Psychiatrist must hold a valid registration with the Medical Board of Australia and maintain a current Australian Psychiatric Registration (ARBS) at all times.
- Confidentiality and Privacy: All patient information handled by the Psychiatrist under this Purchase Order shall be protected in strict accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and the Health Records Act 2001 (NSW). No patient-identifiable information shall be disclosed to the purchasing organisation beyond the scope of the written reports specified in Line Item 5.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Psychiatrist. Invoices must include the Psychiatrist's ABN, a detailed description of services rendered, and the applicable GST registration number. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Psychiatrist.
- Service Location: All in-person psychiatric consultations and assessments under this Purchase Order shall be conducted at the Psychiatrist's registered practice in Australia Sydney or at the purchasing organisation's premises at 200 George Street, Australia Sydney, NSW 2000, as mutually agreed in writing.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Psychiatrist shall complete all in-progress patient assessments and provide appropriate referral documentation to a successor Psychiatrist nominated by the purchasing organisation.
- Insurance: The Psychiatrist shall maintain professional indemnity insurance with a minimum limit of AUD 10,000,000 per claim and public liability insurance of AUD 5,000,000. Certificates of insurance shall be provided to the purchasing organisation upon request.
- Compliance with Australian Regulations: The Psychiatrist acknowledges that the provision of psychiatric services in Australia Sydney is subject to the Poisons Standard (Schedule 4 and Schedule 8) under the Therapeutic Goods Act 1989 (Cth) for the prescribing of psychotropic and controlled substances. All prescriptions shall be issued in compliance with NSW Health regulations.
- Dispute Resolution: Any dispute arising under this Purchase Order shall first be referred to mediation under the Australian Dispute Resolution Act 2010 (Cth). If mediation is unsuccessful, the matter may be referred to the NSW Civil and Administrative Tribunal (NCAT) or the Supreme Court of New South Wales.
