This Purchase Order is issued by the Guangzhou Municipal Health Administration for the procurement of specialized psychiatric services to be delivered within the jurisdiction of China Guangzhou. The Psychiatrist engaged under this Purchase Order shall hold a valid medical license issued by the National Health Commission of the People's Republic of China, possess a board certification in Psychiatry from an accredited Chinese medical institution, and demonstrate a minimum of eight (8) years of clinical experience in adult and adolescent psychiatric care. The Psychiatrist must be proficient in Mandarin Chinese and, preferably, in English to accommodate the diverse patient population served in China Guangzhou.
All services rendered under this Purchase Order shall comply with the Mental Health Law of the People's Republic of China (2013, amended 2018), the regulations of the Guangdong Provincial Health Commission, and the operational standards established by the Guangzhou Municipal Health Administration. The Psychiatrist shall maintain full confidentiality of all patient records in accordance with Chinese data protection regulations and the Personal Information Protection Law (PIPL) effective November 2021.

5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Psychiatrist services as described herein. All terms are governed by the Civil Code of the People's Republic of China and applicable local regulations in Guangdong Province.
5.2 The Psychiatrist engaged under this Purchase Order shall report directly to the Chief Medical Officer of the designated facility in China Guangzhou and shall adhere to all institutional protocols, shift schedules, and patient care standards.
5.3 Payment shall be made in quarterly installments via bank transfer to the account designated by the Seller. The first installment is due within thirty (30) calendar days of the effective date of this Purchase Order. Late payments shall incur a penalty of 0.05% per day as stipulated under Chinese commercial law.
5.4 The Seller warrants that the Psychiatrist shall maintain valid malpractice insurance with a minimum coverage of CNY 5,000,000 per incident throughout the duration of this Purchase Order.
5.5 Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall compensate the Seller for services rendered up to the effective date of termination.
5.6 All intellectual property, clinical protocols, and patient data generated under this Purchase Order shall remain the exclusive property of the Guangzhou Municipal Health Administration. The Psychiatrist shall not reproduce, distribute, or disclose any patient information without written authorization.
5.7 Disputes arising from this Purchase Order shall be resolved through mediation by the Guangzhou Arbitration Commission. If mediation fails, the matter shall be submitted to the competent People's Court in Yuexiu District, China Guangzhou.
All Psychiatrist services under this Purchase Order shall be delivered at the following locations within China Guangzhou: Guangzhou Central Psychiatric Hospital (Tianhe District), Yuexiu Community Mental Health Center, Haizhu District Public Health Clinic, Baiyun Rural Health Station, Panyu District Telemedicine Hub, and Huangpu Emergency Psychiatric Unit. The Psychiatrist shall be available on-site for a minimum of 48 hours per week and shall maintain on-call availability for emergency psychiatric interventions as outlined in Line Item 06.
NOTE: This Purchase Order must be countersigned by both parties before any Psychiatrist services commence. The Supplier must submit a copy of the Psychiatrist's medical license, board certification, and malpractice insurance certificate to the Buyer's procurement office within five (5) business days of signing. Failure to provide these documents shall render this Purchase Order void.
