1. Description of Purchase Order ScopeThis Purchase Order is issued by Shanghai MindCare Medical Group Co., Ltd. to formally engage the services of a qualified Psychiatrist for the provision of comprehensive mental health clinical services within the jurisdiction of China Shanghai. This Purchase Order governs the terms, conditions, compensation structure, and professional obligations associated with the engagement of the named Psychiatrist. The Psychiatrist shall deliver all services in accordance with the National Health Commission of the People's Republic of China regulations, the Shanghai Municipal Health Administration guidelines, and the professional standards established by the Chinese Medical Association's Psychiatry Branch.

- 3.1 The Psychiatrist shall maintain a valid medical practice license issued by the Shanghai Municipal Health Commission and shall provide proof of current registration with the China Shanghai Medical Association upon request.
- 3.2 All psychiatric services rendered under this Purchase Order shall be conducted in compliance with the Mental Health Law of the People's Republic of China (2013, amended 2018) and all applicable local regulations in China Shanghai.
- 3.3 The Psychiatrist shall carry professional medical malpractice insurance with a minimum coverage of ¥5,000,000 per incident, maintained throughout the duration of this Purchase Order.
- 3.4 Patient confidentiality shall be strictly observed in accordance with China's Personal Information Protection Law (PIPL) and the Shanghai Municipal Data Security Regulations. All patient records shall be stored on servers physically located within China Shanghai.
- 3.5 The Psychiatrist shall submit monthly service reports to the Purchasing Party by the 5th business day of the following month, detailing patient volumes, treatment outcomes, and any adverse events.
- 3.6 This Purchase Order is valid for a period of twelve (12) months from the date of execution, with an option for renewal upon mutual written agreement no later than thirty (30) days prior to expiration.
Payment for services rendered under this Purchase Order shall be made via bank transfer to the Psychiatrist's designated account at Bank of China, Shanghai Pudong Branch. Invoices shall be submitted monthly, and payment shall be processed within fifteen (15) business days of invoice receipt. A late payment penalty of 0.05% per day shall apply to overdue amounts. All payments are subject to applicable Chinese tax regulations, including Value Added Tax (VAT) at the prevailing rate for medical services in China Shanghai.
5. Delivery and Performance LocationAll services specified in this Purchase Order shall be performed at the designated clinical facilities located in China Shanghai, including but not limited to the Shanghai MindCare Clinic (Pudong), the Shanghai MindCare Inpatient Psychiatric Ward (Xuhui), and approved community health centers across the China Shanghai metropolitan area. The Psychiatrist shall not relocate the primary service delivery location without prior written consent from the Purchasing Party.
6. Termination and Dispute ResolutionEither party may terminate this Purchase Order with sixty (60) days' written notice. In the event of a dispute arising from this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for binding arbitration under its rules. The governing law of this Purchase Order shall be the laws of the People's Republic of China.
7. Authorization and AcceptanceBy signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Psychiatrist in China Shanghai.
