1. This Purchase Order is valid for a period of three (3) months from the date of issue, covering the engagement of the Psychiatrist for the specified services in Mumbai, India. Any extension beyond this period shall require a written amendment to this Purchase Order signed by both parties.
2. The Psychiatrist engaged under this Purchase Order must hold a valid registration with the Medical Council of India (MCI) / National Medical Commission (NMC) and a current license to practice psychiatry in the state of Maharashtra, India Mumbai. Proof of registration shall be submitted prior to the commencement of services.
3. All patient records, consultation notes, and diagnostic data generated under this Purchase Order shall be treated as strictly confidential in accordance with the Indian IT Act, 2000, and applicable data protection regulations. The Psychiatrist shall not disclose any individual patient information to the organization or any third party without the patient's explicit written consent.
4. Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Psychiatrist's practice. Payment shall be processed via NEFT/RTGS to the bank account designated by the vendor. The Purchase Order number must be referenced on all invoices.
5. The Psychiatrist shall maintain professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) for the duration of this Purchase Order. A copy of the insurance certificate shall be provided to the organization's procurement department.
6. All services shall be performed in compliance with the Mental Healthcare Act, 2017 (India) and all applicable regulations of the Maharashtra State Health Department. The Psychiatrist shall adhere to the ethical guidelines prescribed by the Indian Psychiatric Society.
7. In the event of the Psychiatrist's unavailability due to illness, leave, or any other reason, a qualified substitute Psychiatrist of equivalent qualifications and MCI registration shall be arranged with prior written approval from the organization's HR Director.
8. This Purchase Order does not constitute an employment relationship. The Psychiatrist shall be treated as an independent professional service provider. The organization shall not be liable for any professional decisions made by the Psychiatrist in the course of treatment, provided such decisions are made in good faith and in accordance with accepted medical standards.
9. Disputes arising from this Purchase Order shall be resolved through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of the courts in Mumbai, Maharashtra, India shall be exclusive.
10. The organization reserves the right to terminate this Purchase Order with a written notice of thirty (30) days in the event of non-performance, breach of confidentiality, or any material violation of the terms stated herein.

This Purchase Order is issued and authorized by the undersigned on behalf of Meridian Group of Companies Pvt. Ltd., Mumbai, India. Acceptance of this Purchase Order by the Psychiatrist shall constitute a binding agreement for the services described herein.
