- This Purchase Order is issued by Aravinda Corporate Health & Wellness Pvt. Ltd., New Delhi, India, and constitutes a binding agreement for the procurement of Psychiatrist professional services as detailed herein. The Psychiatrist, Dr. Meera Krishnamurthy, operating from Lotus Mind & Behaviour Clinic in New Delhi, India, shall deliver all services in strict compliance with the scope outlined in this document.
- All services rendered under this Purchase Order shall be performed by a duly registered Psychiatrist holding a valid Medical Council of India (MCI) / National Medical Commission (NMC) registration. The Psychiatrist shall maintain all necessary professional liability insurance with a minimum coverage of INR 50,00,000 throughout the contract period.
- Payment shall be processed via NEFT/RTGS to the vendor's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. The vendor shall issue a GST-compliant invoice as per the Central Goods and Services Tax Act, 2017, applicable in India. The service location for all in-person consultations shall be within the New Delhi metropolitan area unless otherwise specified in writing.
- Confidentiality: The Psychiatrist shall adhere strictly to the Mental Healthcare Act, 2017 (India) and all applicable data protection regulations. No patient records, psychiatric assessments, or clinical notes obtained during the engagement shall be disclosed to any third party without the explicit written consent of the patient, except as mandated by law in India.
- The Psychiatrist shall maintain a minimum response time of four (4) hours for emergency on-call requests within the New Delhi service area. Failure to meet this response time on two or more occasions in a calendar quarter shall entitle the buyer to a 10% service credit for the affected quarter.
- This Purchase Order is governed by the laws of India, and any disputes arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India. Arbitration, if required, shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi.
- The vendor (Psychiatrist) shall not subcontract or delegate any portion of the clinical services to any other practitioner without prior written approval from the buyer. All tele-psychiatry sessions shall be conducted using HIPAA-equivalent encrypted platforms compliant with India's Information Technology Act, 2000.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the buyer shall be liable only for services rendered up to the effective date of termination. The Psychiatrist shall deliver all outstanding reports and clinical documentation within fourteen (14) days of termination.
- All rates quoted in this Purchase Order are fixed for the duration of the contract period and are inclusive of all professional fees, travel within New Delhi, and administrative costs. Any additional services beyond the scope defined herein shall require a written amendment to this Purchase Order signed by both parties.
