This Purchase Order is issued by the Jerusalem Regional Health Authority (hereinafter referred to as the "Purchasing Party") to engage the services of a qualified Psychiatrist operating within the jurisdiction of Israel Jerusalem. All terms, conditions, and obligations set forth in this document shall be governed by the laws of the State of Israel and the applicable regulations of the Israeli Ministry of Health.

The Purchasing Party hereby requests and the Service Provider agrees to furnish the following psychiatric services as outlined in this Purchase Order:

All services described in this Purchase Order shall be rendered exclusively within the geographic boundaries of Israel Jerusalem, including but not limited to the Old City district, the Mount Scopus area, the Givat Shmuel neighborhood, and the surrounding municipal zones. The Psychiatrist shall maintain a primary practice location at the address specified in Section 1 and shall be available for inpatient consultations at the Jerusalem Medical Center (Hadassah) and the Kaplan Medical Center as required by the Purchasing Party.

The Psychiatrist is required to hold a valid license issued by the Israeli Medical Licensing Authority and to maintain professional liability insurance with a minimum coverage of 5,000,000 ILS. All clinical records generated under this Purchase Order shall be stored in compliance with the Israeli Privacy Protection Law, 5741-1981, and the regulations of the Israeli Ministry of Health regarding the handling of sensitive psychiatric data.

Payment for services rendered under this Purchase Order shall be made in New Israeli Shekels (ILS) via bank transfer to the account designated by the Psychiatrist. Invoices shall be submitted on a monthly basis, no later than the fifth (5th) business day of the following month. The Purchasing Party shall process payment within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Israeli Late Payment Law, 5751-1991.

A retention of five percent (5%) of each monthly invoice shall be held by the Purchasing Party until the completion of the full contract term, at which point the retained amount shall be released within fifteen (15) business days, subject to satisfactory completion of all deliverables outlined in this Purchase Order.

This Purchase Order shall be effective from 1 July 2025 through 30 June 2026 (a period of twelve months). The contract may be renewed for successive twelve-month periods upon mutual written agreement of both parties, executed no later than sixty (60) days prior to the expiration of the current term. Either party may terminate this Purchase Order with ninety (90) days' written notice. In the event of material breach, termination may be effected with thirty (30) days' notice. Termination shall not affect any accrued rights or obligations, including outstanding payment for services already rendered by the Psychiatrist in Israel Jerusalem.

The Psychiatrist shall comply with all applicable Israeli laws and regulations, including the Mental Health Law, 5733-1973, the Medical Practitioners Law, 5735-1975, and all directives issued by the Israeli Ministry of Health. All services provided under this Purchase Order in Israel Jerusalem shall adhere to the ethical standards established by the Israeli Medical Association. The Psychiatrist shall submit quarterly compliance reports to the Purchasing Party detailing patient volumes, treatment outcomes, and any adverse events.

All patient information, clinical notes, diagnostic records, and any other data generated in the course of fulfilling this Purchase Order shall be treated as strictly confidential. The Psychiatrist shall not disclose any patient-identifying information to third parties without the explicit written consent of the patient or a valid court order. This obligation of confidentiality shall survive the termination or expiration of this Purchase Order for a period of no less than ten (10) years.

Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to mediation under the auspices of the Jerusalem District Court. Should mediation fail, the matter shall be adjudicated by the competent courts of Israel Jerusalem, and the parties hereby consent to the exclusive jurisdiction of said courts.
