Terms and Conditions
- This Purchase Order is issued by Clinique Al Amal Casablanca and constitutes a formal request for psychiatric services to be rendered by the named Psychiatrist, Dr. Youssef El Mansouri, within the city of Morocco Casablanca. Acceptance of this Purchase Order by the Supplier signifies full agreement to all terms herein.
- All services described in this Purchase Order shall be performed at the clinic premises located at 12, Boulevard Mohammed V, Casablanca, Morocco, unless otherwise specified in writing by both parties. The Psychiatrist shall ensure that all clinical activities comply with the regulations set forth by the Moroccan Ministry of Health and the National Order of Physicians.
- Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via bank transfer to the account designated by the Psychiatrist. Invoices must reference this Purchase Order number (PO-MC-2025-04782) for proper reconciliation.
- The Psychiatrist is required to maintain valid professional liability insurance with a minimum coverage of 5,000,000 MAD throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
- Confidentiality: All patient records, clinical notes, and diagnostic data generated under this Purchase Order are subject to strict confidentiality in accordance with Moroccan Law No. 09-08 on the protection of personal data. The Psychiatrist shall not disclose any patient information to third parties without written consent.
- Service delivery schedule: The Psychiatrist shall adhere to the consultation calendar agreed upon in the annex to this Purchase Order. Any cancellation or rescheduling must be communicated at least 48 hours in advance. Failure to meet the agreed schedule for three consecutive weeks may result in partial termination of this Purchase Order.
- Quality assurance: The Psychiatrist shall submit monthly activity reports to the clinic's medical director, detailing the number of sessions conducted, patient outcomes, and any adverse events. These reports are a condition of continued payment under this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, all services rendered up to the effective date of termination shall be invoiced and paid in full.
- Governing law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Casablanca, Morocco.
- This Purchase Order is valid for a period of twelve (12) months from the date of issuance, unless renewed in writing by both parties. The total value of this Purchase Order is one million forty-one thousand two hundred and fifty Moroccan Dirhams (1,041,250.00 MAD), inclusive of all applicable taxes and surcharges.
