- This Purchase Order is issued by Yangon Wellness Medical Group Co., Ltd. for the procurement of Psychiatrist professional services and associated clinical equipment to be delivered and utilized within the Myanmar Yangon metropolitan area.
- The Psychiatrist named in this Purchase Order must hold a valid medical license issued by the Myanmar Ministry of Health and Sports and must maintain active registration with the Myanmar Psychiatric Association throughout the contract period.
- All Psychiatrist consultation services referenced in this Purchase Order shall be conducted at the designated clinic premises located in Myanmar Yangon, or at such other approved locations within Myanmar Yangon as mutually agreed in writing by both parties.
- Payment terms: 50% advance payment upon acceptance of this Purchase Order, with the remaining 50% payable in monthly installments within 15 business days of the end of each calendar month, subject to satisfactory service delivery verification.
- The Psychiatrist shall maintain full confidentiality of all patient records in accordance with Myanmar's personal data protection regulations and the ethical standards of the Myanmar Medical Council. No patient information from the Myanmar Yangon practice shall be disclosed to third parties without written consent.
- Delivery of all physical equipment listed in Line Item 4 shall be completed within 30 calendar days of the issue date of this Purchase Order. The Psychiatrist's examination room in Myanmar Yangon must be prepared and inspected by the Buyer's facilities team prior to equipment installation.
- Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding Psychiatrist service scope or Myanmar Yangon delivery schedules shall not be binding.
- In the event of force majeure, including but not limited to natural disasters affecting Myanmar Yangon, government-mandated closures, or public health emergencies, either party may suspend obligations under this Purchase Order with 72 hours' written notice.
- Disputes arising from this Purchase Order shall be resolved through mediation under the Myanmar Arbitration Law. If mediation fails, the matter shall be referred to the competent court in Myanmar Yangon.
- This Purchase Order is governed by the laws of the Republic of the Union of Myanmar. All services rendered by the Psychiatrist in Myanmar Yangon shall comply with current national healthcare regulations, fee schedules, and professional conduct codes.
