4. Scope and Service Delivery Location

All services outlined in this Purchase Order shall be rendered by the designated Psychiatrist, Dr. Sunita Maharjan, at the primary facility located in Nepal Kathmandu, specifically at Plot No. 47, Thamel Marg, Kathmandu. The Psychiatrist shall maintain a minimum on-site presence of six (6) working days per week, with the remaining day allocated for remote consultation and administrative duties. All clinical records, patient files, and therapeutic documentation generated under this Purchase Order shall be stored in compliance with the Nepal Health Insurance Board (NHIB) data protection guidelines and the Nepal Medical Council (NMC) professional conduct regulations. The Psychiatrist is expected to coordinate with the multidisciplinary team at the Nepal Kathmandu centre, including clinical psychologists, psychiatric nurses, social workers, and general practitioners, to ensure holistic mental health care delivery.

5. Terms and Conditions

This Purchase Order is issued in accordance with the procurement policies of Shree Anandamaya Mental Health & Wellness Centre Pvt. Ltd. and is governed by the laws of the Kingdom of Nepal, including the Civil Code 2074 and the Nepal Medical Council Act.
The Psychiatrist shall hold a valid and current licence issued by the Nepal Medical Council (NMC) and shall maintain professional indemnity insurance with a minimum coverage of NPR 10,000,000 for the entire duration of this Purchase Order.
Payment shall be processed within thirty (30) calendar days from the date of receipt of a valid tax invoice, provided that all services have been satisfactorily delivered and documented. Payment shall be made via bank transfer to the account designated by the Psychiatrist's clinic in Kathmandu.
The Psychiatrist shall submit a monthly service report to the Head of Procurement at the Nepal Kathmandu facility, detailing the number of sessions conducted, patient outcomes, medication adjustments, and any adverse events or clinical incidents.
Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Psychiatrist shall complete all in-progress patient care plans and hand over clinical records to the successor Psychiatrist or the centre's medical director.
All intellectual property, clinical protocols, and patient data generated under this Purchase Order shall remain the exclusive property of Shree Anandamaya Mental Health & Wellness Centre Pvt. Ltd. The Psychiatrist shall not disclose any patient information in violation of the Nepal Privacy Act 2075.
Any disputes arising from this Purchase Order shall be resolved through mediation in Kathmandu, Nepal, in accordance with the Nepal Arbitration Act 2055. If mediation fails, the matter shall be referred to the competent civil court in Kathmandu.
The Psychiatrist shall comply with all applicable health and safety regulations set by the Department of Health, Kathmandu, and shall ensure that all therapeutic interventions are evidence-based and aligned with the World Health Organization (WHO) mental health guidelines adopted in Nepal.
This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless renewed in writing by both parties. Any amendments to the scope, pricing, or delivery terms must be documented in a formal addendum signed by both parties.
