- This Purchase Order is issued by Northgate Health Services Ltd for the engagement of a qualified Psychiatrist to deliver mental health services to employees and contracted personnel based in New Zealand Auckland. All services shall be rendered in accordance with the Health and Disability Commissioner Act 1994 and the Code of Health and Disability Services Consumers' Rights.
- The Psychiatrist named in this Purchase Order must hold a current Practising Certificate issued by the Medical Council of New Zealand and maintain appropriate professional indemnity insurance with a minimum cover of NZD $5,000,000 per claim.
- All clinical services described in this Purchase Order shall be delivered at the Auckland Mind & Wellness Psychiatry Clinic located in Ponsonby, Auckland, or at such other location within the New Zealand Auckland region as mutually agreed in writing by both parties.
- Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Invoices must include the supplier's GST registration number and reference this Purchase Order number (PO-2025-AKL-00487).
- The Psychiatrist agrees to maintain strict confidentiality of all patient records in compliance with the Privacy Act 2020 (New Zealand) and the Health Information Privacy Code 2020. No patient-identifiable information shall be disclosed to Northgate Health Services Ltd beyond the scope of progress summaries explicitly requested under Line Item 6.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Psychiatrist shall provide a minimum of two (2) transition sessions to ensure continuity of care for all active patients.
- Any variation to the scope of services, frequency of appointments, or fee structure outlined in this Purchase Order must be documented in a written amendment signed by both parties before it takes effect.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through the Disputes Tribunal of New Zealand or, where the amount in dispute exceeds NZD $100,000, through the District Court in Auckland.
- The Psychiatrist warrants that all services provided under this Purchase Order will be performed with the degree of skill, care, and diligence expected of a reasonably competent psychiatrist practising in New Zealand Auckland, in accordance with the Royal Australian and New Zealand College of Psychiatrists (RANZCP) clinical guidelines.
