This Purchase Order is issued by Colombo Wellness Healthcare Group (Pvt) Ltd. to formally engage the services of a qualified Psychiatrist for the provision of specialized mental health consultation, diagnostic assessment, and therapeutic intervention services at our facility located in Sri Lanka Colombo. This document constitutes a binding agreement between the parties and governs all terms, conditions, deliverables, and payment arrangements related to the Psychiatrist engagement.

The Psychiatrist, Dr. Nimal Perera, is hereby contracted to deliver the following professional services at the Colombo Wellness Healthcare Group outpatient and inpatient facilities in Sri Lanka Colombo:

1. This Purchase Order is valid for a period of twelve (12) months commencing from 01 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties.
2. The Psychiatrist shall maintain valid registration with the Sri Lanka Medical Council and hold a current license to practice psychiatry in Sri Lanka Colombo throughout the duration of this engagement.
3. All services shall be rendered in accordance with the Sri Lankan Mental Health Act (No. 14 of 2021) and the ethical guidelines established by the Sri Lanka College of Psychiatrists.
4. Payment shall be made on a monthly basis within fourteen (14) calendar days of receipt of an itemized invoice from the Psychiatrist. Payments shall be processed via bank transfer to the account designated by the vendor.
5. The Psychiatrist is required to maintain comprehensive patient records, treatment plans, and progress notes in the facility's electronic health record system located at the Colombo 03 premises.
6. Confidentiality of all patient information shall be strictly maintained in compliance with Sri Lankan data protection regulations and the professional code of ethics for psychiatrists.
7. The Psychiatrist shall be available for a minimum of five (5) working days per week, Monday through Friday, between the hours of 08:00 AM and 05:00 PM, with additional on-call availability as specified in the service schedule.
8. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
9. The Psychiatrist shall carry professional indemnity insurance with a minimum coverage of LKR 10,000,000, valid throughout the contract period, and shall provide a certificate of insurance upon request.
10. All disputes arising from this Purchase Order shall be resolved through mediation in Colombo, Sri Lanka, in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

All services under this Purchase Order shall be delivered at the Colombo Wellness Healthcare Group facility situated at No. 42, Galle Road, Colombo 03, Sri Lanka Colombo. The Psychiatrist is expected to be physically present at the Sri Lanka Colombo premises during all scheduled consultation hours. Remote or telepsychiatry sessions, if required, shall be conducted using the facility-approved secure video conferencing platform and shall be subject to prior written approval by the Medical Director.

By signing below, both parties acknowledge and accept all terms, conditions, and service specifications outlined in this Purchase Order for the Psychiatrist engagement in Sri Lanka Colombo. This document, once countersigned, becomes a legally binding contract.
