This Purchase Order is issued by the Khartoum State Health Authority to formally engage the services of a qualified Psychiatrist for the provision of clinical, diagnostic, and therapeutic mental health services within the public health infrastructure of Sudan Khartoum. The terms and conditions set forth in this Purchase Order govern the professional relationship between the Buyer and the Supplier for the duration of the contracted period.
The Supplier, acting as a licensed and board-certified Psychiatrist, shall provide the following professional services to the public hospitals and community health centres under the jurisdiction of Sudan Khartoum:

All payments under this Purchase Order shall be made in Sudanese Pounds (SDG) via bank transfer to the Supplier's designated account. The payment schedule is structured as follows:
- Advance Payment: 20% of the total contract value (476,800 SDG) shall be disbursed within 14 working days of the signing of this Purchase Order, contingent upon the Psychiatrist submitting a valid professional liability insurance certificate and a current Sudanese medical licence.
- Quarterly Installments: The remaining 80% shall be paid in four equal quarterly installments of 476,800 SDG each, due on the 5th of January, April, July, and October 2025, subject to satisfactory completion of service deliverables as verified by the Mental Health Directorate's clinical supervisor.
- Withholding: The Buyer reserves the right to withhold up to 10% of any quarterly installment if the Psychiatrist fails to meet the minimum consultation thresholds or submits incomplete audit reports.
The Psychiatrist engaged under this Purchase Order must hold and maintain the following credentials throughout the contract period in Sudan Khartoum:
- A valid, unrestricted licence to practise medicine issued by the Sudanese Medical Specialisation Board.
- Board certification in Psychiatry (MRC Psych or equivalent Sudanese postgraduate qualification).
- Registration with the Khartoum State Medical Council, Sudan Khartoum.
- Professional medical malpractice insurance with a minimum coverage of 5,000,000 SDG.
- Compliance with the Sudanese National Mental Health Policy and the ethical guidelines of the Sudanese Psychiatric Association.
The Psychiatrist shall:
- Provide all clinical services in accordance with evidence-based psychiatric practice and the treatment protocols established by the Sudan Khartoum health authority.
- Maintain strict patient confidentiality in compliance with Sudanese data protection regulations and the Hippocratic ethical code.
- Report any adverse drug reactions, patient safety incidents, or public health emergencies to the Mental Health Directorate within 24 hours of occurrence.
- Make himself available for on-call emergency psychiatric duties in Sudan Khartoum as specified in Line Item 03 of this Purchase Order.
- Submit all clinical records, prescription logs, and treatment documentation in the format prescribed by the Buyer within 72 hours of each clinical encounter.
The Khartoum State Health Authority shall:
- Provide the Psychiatrist with access to all necessary clinical facilities, diagnostic equipment, and pharmacy resources within the designated Sudan Khartoum health institutions.
- Ensure timely payment in accordance with the schedule outlined in Section 3 of this Purchase Order.
- Assign a dedicated clinical supervisor to coordinate the Psychiatrist's schedule, resolve operational issues, and conduct quarterly performance reviews.
- Reimburse reasonable travel expenses incurred by the Psychiatrist when attending community outreach programmes in peripheral areas of Sudan Khartoum, subject to prior written approval.
This Purchase Order is effective from 1 July 2025 through 30 June 2026 (a period of twelve months). Either party may terminate this Purchase Order with 60 days' written notice. Termination for cause (including but not limited to gross professional misconduct, loss of medical licence, or repeated failure to meet service thresholds) may be effected with 14 days' notice. Upon successful completion of the contract term and satisfactory performance evaluation, the Buyer may issue a renewal Purchase Order for an additional period of up to twelve months under mutually agreed terms.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the matter shall be referred to the Sudanese Arbitration Centre in Khartoum, Sudan Khartoum, whose decision shall be final and binding.
This Purchase Order constitutes the entire agreement between the Buyer and the Supplier regarding the engagement of the Psychiatrist for mental health services in Sudan Khartoum. No amendment, modification, or waiver of any provision herein shall be valid unless made in writing and signed by both parties. In the event of any conflict between the terms of this Purchase Order and any prior correspondence, the terms of this document shall prevail.
