All rates are exclusive of VAT at the standard rate of 20% applicable in the United Kingdom. This Purchase Order is subject to the terms of the NHS Framework Agreement for Specialist Medical Services (2024–2027).

Terms and Conditions

1. Scope of Services: This Purchase Order authorises the engagement of Dr. James A. Harrington, Consultant Psychiatrist, to deliver the psychiatric services itemised above at the designated service locations within United Kingdom London. All clinical work shall be conducted in accordance with the General Medical Council (GMC) Good Medical Practice guidelines and the British Medical Association (BMA) standards for psychiatric care.

2. Service Delivery Period: The Psychiatrist shall commence services on 1 July 2025 and continue on a rolling quarterly basis, subject to mutual renewal. Any cancellation of this Purchase Order must be provided in writing no fewer than 28 days prior to the end of the current quarter.

3. Payment: Invoices shall be submitted monthly in arrears to the Procurement & Contracts Department. Payment will be made within 30 calendar days of receipt of a valid invoice. Late payment interest shall accrue in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 as applicable in the United Kingdom.

4. Confidentiality and Data Protection: The Psychiatrist and all associated personnel shall comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient records and clinical data generated under this Purchase Order shall be stored securely in accordance with NHS Digital standards and shall not be transferred outside the United Kingdom without explicit written consent.

5. Indemnity and Insurance: The Psychiatrist shall maintain professional indemnity insurance with a minimum cover of £5,000,000 per claim throughout the duration of this Purchase Order. Evidence of current cover shall be provided upon request.

6. Quality Assurance and Reporting: The Psychiatrist shall submit quarterly clinical governance reports to the Clinical Director at the Thames Valley Community Mental Health Centre, London. These reports shall include patient outcome metrics, waiting time statistics, and any adverse incident notifications in line with the NHS Reporting of Serious Incidents framework.

7. Governing Law: This Purchase Order and any disputes arising therefrom shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of London.

8. Anti-Bribery and Compliance: The Psychiatrist warrants compliance with the UK Bribery Act 2010 and all relevant NHS procurement regulations. Any breach of this clause shall constitute grounds for immediate termination of this Purchase Order.
