This Purchase Order is issued by Tashkent Central Psychiatric & Neurological Clinic to formally engage the services of a qualified Psychiatrist for the provision of outpatient and inpatient psychiatric care within the city of Tashkent, Uzbekistan. The Psychiatrist shall deliver all services in accordance with the clinical protocols established by the Ministry of Health of the Republic of Uzbekistan and the internal standards of the purchasing clinic.

- Contract Period: This Purchase Order covers a service period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 8.
- Payment Terms: Payment shall be made in monthly installments within fifteen (15) business days of receipt of an approved invoice from the Psychiatrist. All payments shall be processed via bank transfer to the account designated by the Psychiatrist at a licensed commercial bank operating in Tashkent, Uzbekistan. The applicable currency for all transactions under this Purchase Order shall be the Uzbekistani Som (UZS).
- Regulatory Compliance: The Psychiatrist shall maintain a valid medical practitioner license issued by the Ministry of Health of the Republic of Uzbekistan throughout the entire contract period. The Psychiatrist shall comply with all applicable laws of Uzbekistan, including but not limited to the Law on Healthcare, the Law on Personal Data Protection, and all regulations governing the practice of psychiatry in Tashkent and the wider Republic of Uzbekistan.
- Confidentiality: The Psychiatrist shall uphold the strictest standards of patient confidentiality as mandated by Uzbekistan's medical ethics code and data protection legislation. All patient records, clinical notes, and diagnostic information shall be treated as confidential and shall not be disclosed to any third party without the written consent of the patient or a lawful court order.
- Performance Standards: The Psychiatrist shall maintain a minimum patient satisfaction score of 85% as measured by quarterly internal audits conducted by the Tashkent Central Psychiatric & Neurological Clinic. Failure to meet this standard for two consecutive quarters shall constitute grounds for review of this Purchase Order.
- Insurance and Liability: The Psychiatrist shall maintain professional medical malpractice insurance with a minimum coverage of 500,000,000 UZS, issued by an insurance company licensed to operate in Uzbekistan. Proof of insurance shall be provided to the purchasing clinic prior to the commencement of services.
- Intellectual Property: All clinical protocols, treatment plans, and training materials developed specifically for the Tashkent clinic under this Purchase Order shall remain the property of the purchasing entity. The Psychiatrist retains ownership of pre-existing methodologies and general psychiatric knowledge.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The purchasing clinic may terminate immediately in the event of the Psychiatrist's license revocation, gross professional misconduct, or material breach of any clause herein. Upon termination, all outstanding services rendered shall be invoiced and settled within thirty (30) days.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be referred to the competent commercial court in Tashkent, Uzbekistan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, epidemics, or acts of war, as defined under Uzbekistan civil law.
All psychiatric services rendered under this Purchase Order shall be conducted at the Tashkent Central Psychiatric & Neurological Clinic premises or at approved satellite locations within Tashkent city limits, as designated by the clinic's administration. The Psychiatrist is required to be physically present in Tashkent, Uzbekistan, for all inpatient and emergency services. Remote or telepsychiatry consultations may be conducted for follow-up appointments only, subject to prior written approval by the Chief Medical Officer and in compliance with the Ministry of Health's telemedicine regulations for the Republic of Uzbekistan. All patient-facing communications shall be conducted in Uzbek or Russian, the two official languages of Uzbekistan, with English permitted for internal documentation and international medical collaboration.
This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document for the engagement of the Psychiatrist in Tashkent, Uzbekistan.
