This Purchase Order is issued by Meridian Health & Wellness Group Pty Ltd (hereinafter referred to as the "Buyer") to engage the services of Dr. Eleanor Whitfield, a Registered Psychologist (hereinafter referred to as the "Psychologist" or "Supplier"), for the provision of clinical psychology services to be delivered in Australia Brisbane. This Purchase Order governs the scope of work, financial terms, professional obligations, and regulatory compliance requirements applicable to the engagement of the Psychologist under this arrangement. All services rendered under this Purchase Order shall be conducted in accordance with the Australian Health Practitioner Regulation Agency (AHPRA) standards and the Psychologist Board of Australia's Code of Conduct.

The Psychologist engaged under this Purchase Order shall provide all clinical psychology services in Australia Brisbane in strict compliance with the following professional and regulatory frameworks:

• Maintain an active registration as a Psychologist with AHPRA and the Psychologist Board of Australia throughout the entire duration of this Purchase Order.
• Adhere to the Psychologist Board of Australia's Code of Conduct, including but not limited to obligations regarding informed consent, confidentiality, cultural competence, and ethical practice.
• Hold and maintain professional indemnity insurance with a minimum coverage of AUD $5,000,000 per claim, as required for clinical psychology practice in Queensland, Australia.
• Comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs) in the handling, storage, and transmission of all client records and sensitive health information.
• Deliver all services in a manner consistent with the National Health and Medical Research Council (NHMRC) guidelines for psychological practice in Australia.
• Provide all clinical documentation, reports, and records in English, formatted in accordance with the standards expected by the Australian psychological profession.
• Notify the Buyer in writing within 24 hours of any event that may affect the Psychologist's capacity to perform under this Purchase Order, including but not limited to disciplinary proceedings, changes in registration status, or conflicts of interest.

• Payment shall be made in monthly instalments within 30 days of receipt of a valid tax invoice from the Psychologist.
• All payments shall be made via electronic funds transfer (EFT) to the bank account nominated in writing by the Psychologist.
• The total Purchase Order value of AUD $99,594.00 (inclusive of GST) shall be allocated pro-rata across the 12-month engagement period commencing 01 July 2025 and concluding 30 June 2026.
• Any additional services requested beyond the scope defined in this Purchase Order shall require a written variation to this Purchase Order, signed by both parties, prior to commencement of the additional work.
• Late payments shall attract interest at the rate prescribed under the Australian Consumer Law, calculated daily from the due date until the date of payment.

This Purchase Order shall remain in force for a period of twelve (12) months from the Required Delivery Date of 01 July 2025, unless terminated earlier in accordance with the terms set out herein. Either party may terminate this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of a material breach by the Psychologist, including but not limited to loss of AHPRA registration, failure to maintain professional indemnity insurance, or a finding of professional misconduct, the Buyer reserves the right to terminate this Purchase Order immediately upon written notice. Any disputes arising under this Purchase Order shall be resolved in accordance with the laws of the State of Queensland, Australia, and shall be subject to the jurisdiction of the courts of Australia Brisbane. The parties shall first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.

All information exchanged between the Buyer and the Psychologist in connection with this Purchase Order, including but not limited to client records, clinical notes, organisational data, and financial information, shall be treated as strictly confidential. The Psychologist shall not disclose any such information to any third party without the prior written consent of the Buyer, except where disclosure is required by law or by the regulatory authorities of Australia Brisbane, including AHPRA, the Queensland Health Department, or the Australian Federal Police. This obligation of confidentiality shall survive the termination or expiry of this Purchase Order for a period of no less than seven (7) years.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set out in this Purchase Order. This Purchase Order constitutes a binding agreement for the procurement of professional psychology services in Australia Brisbane and supersedes all prior negotiations, representations, or agreements between the parties relating to the subject matter hereof.
