1. SCOPE OF ENGAGEMENT – PSYCHOLOGIST SERVICESThis Purchase Order is issued by Shanghai MindWell Healthcare Group Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Psychologist (hereinafter referred to as the "Service Provider") for the provision of clinical and organizational psychology services within the jurisdiction of China Shanghai. This Purchase Order constitutes a binding agreement for the procurement of professional psychological services as detailed herein, and all terms shall be governed by the applicable laws of the People's Republic of China, including but not limited to the Civil Code of the PRC and the Mental Health Law of the PRC (2013, amended 2018).

The Psychologist engaged under this Purchase Order must hold a valid license issued by the National Health Commission of the People's Republic of China and be registered with the Shanghai Municipal Health Commission. The Service Provider shall maintain all necessary professional certifications, malpractice insurance (minimum coverage of CNY 2,000,000 per claim), and continuing education credits as mandated by the Chinese Psychological Society. The Psychologist must demonstrate a minimum of five (5) years of post-licensure clinical experience in adult mental health, with documented proficiency in evidence-based therapeutic modalities including Cognitive Behavioral Therapy (CBT), Dialectical Behavior Therapy (DBT), and EMDR.
4. TERMS AND CONDITIONS- 4.1 This Purchase Order is valid for a contract period of twelve (12) months commencing on 1 July 2025 and expiring on 30 June 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
- 4.2 All services shall be rendered exclusively within the administrative boundaries of China Shanghai. Any off-site consultations or travel to other provinces require prior written approval from the Buyer and shall be billed at an additional rate of CNY 500 per hour plus actual travel expenses.
- 4.3 Payment shall be made in monthly installments of CNY 28,000.00, due within fifteen (15) business days of receipt of the monthly service report. Payment shall be processed via bank transfer to the Service Provider's designated account in a PRC-licensed commercial bank.
- 4.4 The Psychologist shall comply with all data protection requirements under the Personal Information Protection Law of the PRC (PIPL, effective 1 November 2021). All client records, session notes, and assessment data collected in China Shanghai shall be stored on servers physically located within mainland China and shall not be transferred overseas without explicit written consent from the client and regulatory approval.
- 4.5 The Service Provider shall maintain strict confidentiality of all client information in accordance with the Mental Health Law of the PRC and the professional ethical code of the Chinese Psychological Society. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order and may result in legal proceedings.
- 4.6 The Buyer reserves the right to conduct a performance review at the six-month mark. Failure to meet the agreed service-level indicators (minimum 95% session completion rate, client satisfaction score of 4.2/5.0 or above) shall trigger a formal remediation plan.
- 4.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- 4.8 All disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in accordance with its rules of procedure. The seat of arbitration shall be China Shanghai.
The Psychologist shall provide a detailed service schedule within ten (10) business days of the effective date of this Purchase Order. Regular sessions shall be conducted Monday through Friday between 09:00 and 18:00 China Standard Time (CST, UTC+8). Group workshops shall be scheduled on a bi-weekly basis, with dates confirmed at least seven (7) days in advance. The Service Provider shall ensure availability for emergency crisis intervention within two (2) hours of notification, seven days per week, throughout the contract period in China Shanghai.
