This Purchase Order is issued by Alexandria Mental Health & Wellness Center to formally engage the services of a qualified Psychologist to provide comprehensive psychological assessment, therapeutic intervention, and ongoing mental health support to the center's patient population in Egypt Alexandria. The Psychologist shall operate in accordance with the Egyptian Mental Health Law No. 71 of 2018 and all applicable regulations set forth by the Alexandria Governorate Health Authority.

The contracted Psychologist shall fulfill the following obligations under this Purchase Order:
- Provide all psychological services within the geographic boundaries of Alexandria, Egypt, including but not limited to the districts of Smouha, Mansheya, Ramly, and Montaza.
- Maintain a valid and active professional license issued by the Egyptian Ministry of Health and the Alexandria Regional Health Directorate throughout the entire contract period.
- Adhere to the ethical code of conduct established by the Egyptian Psychologists Association and ensure full patient confidentiality in compliance with Egyptian data protection regulations.
- Conduct all therapeutic sessions in Arabic, with the option to provide services in English upon patient request, reflecting the bilingual nature of the Alexandria patient community.
- Submit all clinical records, assessment reports, and progress documentation to the Alexandria Mental Health & Wellness Center within five (5) business days of each session or workshop.
- Attend quarterly review meetings with the center's medical director to discuss patient outcomes, service quality, and any adjustments to the therapeutic protocols.
- Coordinate with other healthcare professionals at the center, including psychiatrists, social workers, and pediatric specialists, to ensure integrated care for patients in the Alexandria region.
- Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the Psychologist's designated account at the National Bank of Egypt, Alexandria Branch.
- Invoices must be submitted at the end of each calendar month, accompanied by detailed session logs and patient attendance records.
- The Purchase Order total of EGP 967,860.00 shall be disbursed in three (3) equal quarterly installments of EGP 322,620.00, due on the 15th of the month following each quarter's end.
- A late payment penalty of 1.5% per month shall apply to any overdue amounts, in accordance with Egyptian commercial law.
- All payments are subject to verification by the center's finance department and approval by the Director of Alexandria Mental Health & Wellness Center.
This Purchase Order is valid for a period of twelve (12) months, commencing on July 1, 2025, and expiring on June 30, 2026. Either party may terminate this agreement with thirty (30) days' written notice. In the event of termination, all completed services shall be invoiced and settled within fifteen (15) days. The Psychologist shall ensure a smooth transition of all active patient cases to a successor professional approved by the center, maintaining continuity of care for patients in Egypt Alexandria.
This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this agreement shall first be subject to mediation. If mediation fails, disputes shall be resolved by the competent courts in Alexandria, Egypt. The Psychologist acknowledges that all services rendered under this Purchase Order are subject to oversight by the Alexandria Governorate Health Authority and the Egyptian Ministry of Health.

This Purchase Order constitutes a binding agreement between Alexandria Mental Health & Wellness Center and the named Psychologist for the provision of professional psychological services in Egypt Alexandria. No modification to this document shall be valid unless made in writing and signed by both parties. The Psychologist is engaged as an independent professional contractor and not as an employee of the center. All intellectual property related to therapeutic materials developed during the engagement shall remain the property of the Psychologist, with the center retaining the right to use such materials for internal training purposes within Alexandria.
