This Purchase Order is issued by Groupe Santé Rhône-Alpes SAS to formally engage the services of a qualified Psychologist operating within the metropolitan area of France Lyon. The engagement is structured to support the well-being and mental health programs of our corporate employees and their dependents, in full compliance with French labor law (Code du Travail, Articles L4624-1 et seq.) and the regulatory framework governing psychological practice in the Auvergne-Rhône-Alpes region.
The Psychologist shall deliver the following services at the designated practice location in France Lyon or, where mutually agreed, via secure telehealth platforms compliant with the French data protection regulations (RGPD / GDPR):

4.1 – This Purchase Order constitutes a binding agreement between Groupe Santé Rhône-Alpes SAS and the named Psychologist upon countersignature. All services shall be rendered in accordance with the ethical code of the Ordre des Psychologues and the professional standards applicable in France Lyon and the broader Auvergne-Rhône-Alpes region.
4.2 – The Psychologist shall maintain full professional liability insurance (assurance responsabilité civile professionnelle) with a minimum coverage of €5,000,000 throughout the duration of this engagement. A certificate of insurance shall be provided prior to the commencement of services.
4.3 – All patient records, session notes, and diagnostic reports generated under this Purchase Order shall be stored in strict confidence in accordance with French medical secrecy (secret médical, Article 1110-4 du Code de la santé publique) and the RGPD. Data shall be hosted on servers located within the European Union, with primary storage in the France Lyon data center operated by the issuing entity.
4.4 – Payment shall be made in four equal quarterly installments of €18,870.00 (EUR), due within thirty (30) calendar days of receipt of a valid invoice. Payment shall be processed via SEPA bank transfer to the account designated by the Psychologist.
4.5 – The Psychologist shall provide a written progress report to the designated occupational health coordinator no later than the last business day of each calendar quarter. Reports shall be submitted in French, as required by local regulatory authorities in France Lyon.
4.6 – Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of early termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination, and a transition plan for ongoing patients shall be developed in consultation with the issuing entity.
4.7 – Any dispute arising from this Purchase Order shall be submitted to the competent commercial tribunal of France Lyon (Tribunal de Commerce de Lyon) for resolution. The governing law shall be French law.
Services under this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement. The Psychologist shall maintain a minimum availability of twenty (20) clinical hours per week at the practice location in France Lyon, with additional on-site visits to the corporate headquarters at 42 Quai de Serbie, 69002 France Lyon, as scheduled in the quarterly planning meetings.
NOTE: This Purchase Order has been reviewed for compliance with the French Code de la santé publique, the regulations of the Ordre des Psychologues, and the local professional licensing requirements applicable in France Lyon. The Psychologist named herein holds a valid carte professionnelle and is registered with the Caisse Nationale d'Assurance Maladie (CNAM) for the relevant service area.By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Psychologist in France Lyon.
