- Scope of Psychologist Services: All psychological services described in this Purchase Order shall be delivered exclusively by Psychologists registered with the Ordre des Psychologues de France and holding a valid ADELI or RPPS number. The Psychologist or team of Psychologists assigned to this contract must operate from the designated France Paris premises or, where remote delivery is specified, from a verified location within the Paris metropolitan area (département 75).
- Compliance with French Law: The provision of psychological services under this Purchase Order shall comply with the French Public Health Code (Code de la santé publique), the professional code of ethics of the Psychologist in France, and all applicable data protection regulations under the GDPR as implemented in France (CNIL guidelines). Patient confidentiality is absolute and governed by the secret professionnel applicable to Psychologists in France Paris.
- Service Delivery Schedule: The Psychologist services shall commence on 1 September 2025 and conclude on 31 August 2026. Individual and group sessions shall be scheduled in accordance with the France Paris clinic operating hours (Monday to Friday, 08:00–19:00; Saturday, 09:00–13:00). Emergency crisis intervention under Reference 04 is available 24 hours a day, 7 days a week, throughout the France Paris service area.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made by bank transfer (virement bancaire) within 30 calendar days of the invoice date to the account of Cabinet de Psychologie “Lumiere” SARL. Late payments shall incur interest at the statutory rate prescribed by Article L441-10 of the French Commercial Code.
- Quality Assurance and Supervision: The lead Psychologist, Dr. Émilie Rousseau, shall provide a quarterly performance report to the Purchasing Entity detailing session completion rates, patient satisfaction metrics, and any clinical incidents. A joint review meeting shall be held in France Paris every quarter to assess the adequacy of the psychological services delivered under this Purchase Order.
- Insurance and Liability: The Psychologist service provider shall maintain professional liability insurance (assurance réponse civile professionnelle) with a minimum coverage of €5,000,000 per claim, valid throughout France Paris and the broader French territory. Proof of insurance shall be provided prior to the commencement of services.
- Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of termination, all ongoing patient care plans managed by the Psychologist shall be transferred to a successor practitioner in France Paris within 30 days to ensure continuity of psychological care.
- Governing Law and Jurisdiction: This Purchase Order is governed by the laws of the French Republic. Any dispute arising from the interpretation or execution of this document shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris.
