This Purchase Order is issued by Meridian Corporate Wellness Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of a qualified Psychologist (hereinafter referred to as the "Vendor") for the provision of structured psychological counselling and mental-health support services to the Buyer's employees stationed in India Bangalore. The Psychologist shall deliver all services in accordance with the scope, schedule, and quality standards outlined below.

- Scope of Engagement: The Psychologist shall provide all services listed in Section 2 exclusively for the benefit of the Buyer's workforce in India Bangalore. No sub-contracting of psychological services is permitted without prior written consent from the Buyer.
- Professional Qualifications: The Psychologist must hold a valid registration with the Karnataka State Psychological Council and a Master's or Doctoral degree in Clinical or Counselling Psychology. Proof of registration shall be submitted prior to the commencement of services.
- Confidentiality & Data Protection: All client records, session notes, and assessment reports shall be treated as strictly confidential. The Psychologist shall comply with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, as applicable in India Bangalore. No employee data shall be shared with third parties without explicit written consent.
- Service Schedule: Individual sessions shall be conducted between 09:00 and 18:00 IST, Monday through Saturday, at the Buyer's India Bangalore premises or at the Psychologist's registered practice location in India Bangalore, as mutually agreed per session. Group workshops shall be scheduled at least 10 working days in advance.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid GST-compliant invoice. The Buyer shall process payment via NEFT/RTGS to the bank account specified in Section 1. A 10% advance against this Purchase Order shall be disbursed within 7 working days of mutual acceptance.
- Performance & Quality: The Psychologist shall submit a monthly service summary to the Buyer's HR Wellness team. Failure to meet the agreed session count by more than 15% in any calendar month shall entitle the Buyer to a proportional credit note.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Psychologist shall complete all sessions already scheduled and submit final reports within 15 days.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by the laws of India. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- Compliance: The Psychologist warrants that all services shall be delivered in full compliance with the Mental Healthcare Act, 2017, and all applicable regulations of the Karnataka State Psychological Council.
All service deliverables, including written assessment reports and quarterly audit documents, shall be submitted in both digital (PDF) and hard-copy formats to the Buyer's designated Wellness Coordinator at the India Bangalore office. Acceptance of each deliverable shall be confirmed in writing within 5 working days of receipt. Failure to respond within this period shall constitute deemed acceptance.
This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Corporate Wellness Pvt. Ltd. The Psychologist's acceptance of the terms herein shall be confirmed by countersigning this document and returning a scanned copy to [email protected] within 5 working days of the Date of Issue.

This Purchase Order (PO/BLR/2025/PSY-0472) is a binding commercial document for the engagement of a Psychologist for corporate wellness services in India Bangalore. It is not a substitute for a comprehensive Master Service Agreement. In the event of any conflict between this Purchase Order and a previously executed MSA, the terms of the MSA shall prevail unless explicitly overridden herein. All references to "India Bangalore" in this document denote the city of Bengaluru, Karnataka, India, and its immediate metropolitan area.
