- Scope of Engagement: The Psychologist, Dr. Maryam Ahmadi, shall provide all psychological services listed in this Purchase Order exclusively for the benefit of Alborz Corporate Wellness Group Co. employees. All services shall be rendered in the city of Tehran, Iran, at the addresses specified herein, unless otherwise agreed in writing.
- Professional Qualifications: The Psychologist warrants that she holds a valid doctoral degree in Clinical Psychology, a current professional license issued by the Iranian Ministry of Health and Medical Education, and a minimum of ten (10) years of post-licensure practice in Tehran, Iran. A copy of the license shall be attached to this Purchase Order as Appendix A.
- Service Period: The services under this Purchase Order shall commence on 1 July 2025 and shall continue through 31 December 2025, unless terminated earlier in accordance with Clause 8.
- Payment Terms: Payment shall be made in two (2) equal installments of 362,450,000 IRR each. The first installment is due within fifteen (15) business days of the date of this Purchase Order. The second installment is due within fifteen (15) business days following the completion of the service period. All payments shall be made via bank transfer to the account designated by the Psychologist, in accordance with Iranian banking regulations.
- Confidentiality and Data Protection: The Psychologist shall maintain strict confidentiality of all client records, session notes, and assessment data in compliance with the Iranian Personal Data Protection Law and the professional ethical code of the Iranian Psychological Association. No employee information shall be disclosed to any third party without written consent, except where required by Iranian law.
- Language of Services: All counseling sessions, workshops, and written reports shall be conducted and delivered in Persian (Farsi), the official language of Iran Tehran. Translated summaries in English may be provided upon request at no additional cost.
- Compliance with Local Regulations: The Psychologist shall comply with all applicable laws, regulations, and professional standards of the Islamic Republic of Iran, including but not limited to the regulations of the Tehran Provincial Health Department and the Iranian Council of Psychology.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Psychologist shall provide a transition plan for ongoing clients to ensure continuity of care.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts of Tehran, Iran, in accordance with the Civil Procedure Code of the Islamic Republic of Iran.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Iran. The jurisdiction of the courts of Tehran, Iran shall be exclusive for all matters related to this document.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a Psychologist in Iran Tehran. This document constitutes a binding agreement between the Buyer and the Service Provider.
