This Purchase Order is issued by HealthBridge Nepal Pvt. Ltd. to formally engage the above-named Psychologist for the provision of clinical psychology, counselling, and mental health assessment services within the Kathmandu metropolitan area. The Psychologist shall deliver all services in accordance with the professional standards set by the Nepal Psychologist Council and the Ministry of Health and Population, Government of Nepal.

All services under this Purchase Order shall be rendered primarily at the HealthBridge Nepal Pvt. Ltd. headquarters located on New Road, Kathmandu, Nepal, and at the Psychologist's private practice in Sarowar Nagar, Kathmandu. The Psychologist is expected to travel within the Kathmandu Valley (Kathmandu, Lalitpur, and Bhaktapur) as required for on-site assessments, workshops, and crisis interventions. All sessions shall be conducted in Nepali and/or English as per the client's preference. The Psychologist must maintain strict confidentiality in accordance with the Nepal Privacy Act, 2074 (2017) and the professional code of ethics of the Nepal Psychologist Council.

• 4.1 This Purchase Order constitutes a binding agreement between HealthBridge Nepal Pvt. Ltd. (hereinafter "the Purchaser") and the Psychologist (hereinafter "the Service Provider") upon written acceptance.
• 4.2 The Psychologist shall hold a valid licence issued by the Nepal Psychologist Council throughout the entire contract period. Any lapse in licensure shall render this Purchase Order void at the Purchaser's discretion.
• 4.3 Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Psychologist. Payment shall be processed via bank transfer to the account specified in Section 1.
• 4.4 The Psychologist is responsible for all professional indemnity insurance and shall provide a certificate of coverage prior to commencing services in Nepal Kathmandu.
• 4.5 Cancellation or modification of this Purchase Order requires written notice at least fourteen (14) days in advance. Early termination fees shall be mutually agreed upon in writing.
• 4.6 All patient records, assessment data, and session notes generated under this Purchase Order shall remain the property of HealthBridge Nepal Pvt. Ltd. and shall be stored in compliance with Nepal's data protection regulations.
• 4.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1999) of Nepal.
• 4.8 The Psychologist shall not subcontract any portion of the services outlined in this Purchase Order without prior written consent from the Purchaser.
• 4.9 This Purchase Order is governed by the laws of the Kingdom of Nepal. All notices shall be sent to the addresses listed in this document.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms specified in this Purchase Order for the engagement of the Psychologist in Nepal Kathmandu.
