- Scope of Engagement: The Psychologist shall provide all psychological services exclusively within the geographic boundaries of Pakistan Islamabad, including but not limited to the G-11, F-7/3, Blue Area, and DHA sectors. Any services required outside Pakistan Islamabad shall be subject to a separate written amendment to this Purchase Order.
- Professional Qualifications: The Psychologist must maintain valid registration with the Pakistan Psychological Society (PPS) and hold a current license to practice clinical psychology in Pakistan Islamabad. The Psychologist shall provide proof of registration upon request and at the commencement of this engagement.
- Confidentiality: All client records, session notes, and diagnostic information shall be treated as strictly confidential in accordance with the Pakistan Data Protection Act and the ethical code of conduct of the Pakistan Psychological Society. No information shall be disclosed to third parties without written consent of the client, except where mandated by law in Pakistan Islamabad.
- Payment Schedule: Payment shall be made in monthly installments of PKR 145,000 (one hundred forty-five thousand Pakistani Rupees) within thirty (30) days of receipt of the monthly invoice. The final settlement shall be completed within fifteen (15) days of the conclusion of the twelve-month engagement period.
- Commencement and Duration: Services shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with Clause 9 of this Purchase Order.
- Deliverables: The Psychologist shall submit a comprehensive Organizational Psychological Audit Report within thirty (30) days of the commencement date. Monthly progress reports shall be delivered by the 5th of each subsequent month.
- Compliance: The Psychologist shall comply with all applicable laws, regulations, and professional standards governing the practice of psychology in Pakistan Islamabad, including those issued by the Federal Government of Pakistan and the Islamabad Capital Territory (ICT) regulatory bodies.
- Insurance: The Psychologist shall maintain professional indemnity insurance with a minimum coverage of PKR 5,000,000 (five million Pakistani Rupees) for the duration of this Purchase Order, valid within Pakistan Islamabad.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination. The Buyer may terminate immediately in the event of material breach, loss of PPS registration, or conduct unbecoming a licensed Psychologist in Pakistan Islamabad.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration in Pakistan Islamabad in accordance with the Arbitration Act, 1940 of Pakistan. The seat of arbitration shall be Islamabad, and the language of proceedings shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Islamabad, or acts of war.
- Entire Agreement: This Purchase Order constitutes the entire agreement between the Buyer and the Psychologist regarding the procurement of psychological services and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
