This Purchase Order is issued by Moscow Corporate Wellness Group LLC to engage the services of a qualified and licensed Psychologist for the provision of professional psychological counseling, corporate mental health assessments, and employee wellness programs. The entire scope of services under this Purchase Order shall be delivered and performed within the jurisdiction of Russia Moscow, specifically at the buyer's headquarters located at 12 Tverskaya Street, Moscow, 125009, Russia Moscow, and at such other locations within the city of Moscow as mutually agreed upon in writing by both parties.

The Psychologist engaged under this Purchase Order must hold a valid professional license issued by the Ministry of Health of the Russian Federation, possess a minimum of ten (10) years of clinical and corporate experience, and demonstrate proficiency in both Russian and English languages to accommodate the multinational workforce of the buyer. All services rendered shall comply with the Federal Law of the Russian Federation on Psychological Assistance and applicable professional ethical standards established by the Russian Psychological Society.

All prices are stated in Russian Rubles (RUB) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 20% as per the Tax Code of the Russian Federation. No additional charges shall apply unless expressly authorized in writing via a formal amendment to this Purchase Order.

Acceptance: This Purchase Order shall become binding upon written acceptance by the Psychologist service provider. Acceptance must be communicated in writing within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
Service Delivery: All services described in this Purchase Order shall be performed exclusively within the city of Russia Moscow. The Psychologist shall report to the buyer's designated office at 12 Tverskaya Street, Moscow, 125009, Russia Moscow, during agreed-upon service hours, which shall be Monday through Friday, 09:00 to 18:00 Moscow Standard Time (MSK), unless otherwise specified for emergency interventions.
Confidentiality: The Psychologist shall maintain the strictest confidentiality regarding all client information, session notes, and assessment data in full compliance with Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. All records shall be stored securely within Russia Moscow and shall not be transferred outside the Russian Federation under any circumstances.
Payment: Payment shall be made via bank transfer to the account designated by the Psychologist within thirty (30) calendar days of receipt of a valid invoice. The buyer reserves the right to withhold payment for any services not rendered to the professional standard expected of a licensed Psychologist in Russia Moscow.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination. The Psychologist shall deliver all completed reports and documentation to the buyer within ten (10) business days of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Moscow, Russia Moscow.
Professional Standards: The Psychologist warrants that all services shall be performed in accordance with the highest professional standards recognized by the Russian Psychological Society and shall maintain all required professional liability insurance coverage throughout the term of this Purchase Order.
Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

Services under this Purchase Order shall be delivered in phases as outlined in the attached Service Schedule (Appendix A). The buyer's designated project manager, Anna V. Petrova, shall serve as the primary point of contact for coordinating all service deliveries in Russia Moscow. Acceptance of each service milestone shall be confirmed in writing by the buyer within ten (10) business days of completion. The Psychologist shall provide a written summary report following each workshop or assessment conducted in Russia Moscow, which shall be submitted to the buyer's procurement department for review and filing.
