This Purchase Order is issued by NeuroCognitive Wellness Group LLC to formally engage the services of a qualified Psychologist for the provision of corporate mental health support programs. The services described herein shall be rendered exclusively within the jurisdiction of Russia Saint Petersburg, in compliance with all applicable federal and municipal regulations governing the practice of psychology and psychotherapy in the Russian Federation.

The Psychologist engaged under this Purchase Order shall deliver the following scope of services to our employee population and contracted partners operating in the Russia Saint Petersburg metropolitan area:

• Acceptance: This Purchase Order shall become binding upon written acceptance by the Psychologist within five (5) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
• Service Period: All services shall be performed between 1 July 2025 and 31 December 2025, unless otherwise extended by mutual written agreement. All sessions and assessments shall take place at the designated facility in Russia Saint Petersburg or at the Psychologist's registered practice location within the same municipality.
• Payment Terms: Payment shall be made in two equal installments. The first installment of 799,000 RUB shall be due within fifteen (15) calendar days of the date of this Purchase Order. The second installment of 799,000 RUB shall be due within fifteen (15) calendar days following the completion of all services and submission of the final service report. Payment shall be made via bank transfer to the account specified in Section 1.
• Confidentiality: The Psychologist shall maintain strict confidentiality in accordance with Federal Law No. 323-FZ "On the Basics of Health Protection of Citizens in the Russian Federation" and all applicable data protection regulations. No employee records, session notes, or assessment results shall be disclosed to any third party without written consent of the client, except as required by law.
• Professional Standards: The Psychologist warrants that all services shall be performed in accordance with the ethical code of the Russian Psychological Society and the professional standards established by the Ministry of Health. The Psychologist shall maintain valid professional liability insurance with a minimum coverage of 5,000,000 RUB throughout the duration of this Purchase Order.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination, and all session records shall be transferred to the NeuroCognitive Wellness Group LLC within ten (10) business days.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of the City of Saint Petersburg, Russia.
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Russia Saint Petersburg region.

This Purchase Order is authorized and issued by the undersigned representative of NeuroCognitive Wellness Group LLC. By signing below, the Psychologist acknowledges receipt of this Purchase Order, accepts the terms and conditions set forth herein, and commits to delivering the specified services in the Russia Saint Petersburg location as outlined in this document.
